Employment Agreements with Key Employees. At or prior to Closing, the Shareholders shall attempt to cause the employees of the Company identified on Schedule 4.15 ("Selected Employees") to duly execute and deliver employment agreements, in substantially the form attached hereto as Exhibit C, and to terminate, effective as of the Closing Date, any existing agreement to which such Selected Employees are party respecting employment with the Company.
Employment Agreements with Key Employees. Seller agrees to use its reasonable best efforts to assist and cooperate with Buyer in encouraging the key Employees identified by Buyer to execute employment agreements or otherwise agree to become employed by Buyer. Buyer shall notify Seller of the identity of such key Employees within twenty (20) days after the date hereof.
Employment Agreements with Key Employees. The Employment ---------------------------------------- Agreements with the employees of the Company listed on Schedule 6.1(w) attached hereto have been executed by such employees prior to or contemporaneously with the execution of this Agreement and the Employment Agreements remain in full force and effect and, to the Company's Knowledge, none of the employees listed on Schedule 6.1(w) is in breach or violation of his or her Employment Agreement.
Employment Agreements with Key Employees. Purchaser and those employees of Parent or the Sellers listed in Schedule 7.13 (“Key Employees”) shall execute employment agreements, including confidentiality, non-compete and assignment of discoveries provisions (each, an “Employment Agreement” and collectively, the “Employment Agreements”) substantially in the form attached hereto as Exhibit D and on terms satisfactory to the Purchaser and Superfly Parent.
Employment Agreements with Key Employees. Premier will have offered three year employment contracts to the key employees of the Company containing terms and conditions substantially the same as the Company's existing contracts with such employees. Buyer and Seller will mutually determine which employees are key employees.

At or prior to Closing, the Shareholder shall use its best efforts to cause the employees of the Companies identified on Schedule 4.15 ("Selected Employees") to duly execute and deliver employment and restrictive covenants agreements, in substantially the form attached hereto as Exhibits F and G, respectively, and to cause the Companies to terminate, effective as of the Closing Date, any existing agreement to which such Selected Employees are party respecting employment with the Companies, provided, however, that such termination shall not cause the applicable Company to be in breach of such agreement.
Employment Agreements with Key Employees. The employment agreements stipulated in Section 6.1 have been concluded except for the supplementary agreement with Xx. Xxxxxx Xxxxxxxxxx.
Employment Agreements with Key Employees. The Parent has, prior to the date hereof, entered into employment agreements (including agreements relating to holding of restricted shares of Parent, effective subject to and as of the Closing Date, with the individuals listed on Exhibit 3.25 and in the forms heretofore delivered to Parent and included as Section 3.25 of the Company Disclosure Schedules.
