Employee Restrictions. 15.1. The Village of Estero will not intentionally award publicly-funded contracts to any contractor who knowingly employs unauthorized alien workers, constituting a violation of the employment provisions contained in 8 U.S.C. Section 1324a(e) [Section 274A(e) of the Immigration and Nationality Act (“INA”)]. The Village shall consider employment by any contractor or subconsultant or subcontractor of unauthorized aliens a violation of Section 274A(e) of the INA. Such violation by the Bidder of the employment provisions contained in Section 274A(e) of the INA will be grounds for termination of this Agreement by the Village.

Employee Restrictions. During the Restricted Time Period, Executive will not: (a) solicit or recruit for employment, hire, employ, engage the services of, or attempt to hire, employ, or engage the services of, any individual who is an employee of the Company; (b) assist any Person in the recruitment, hiring or engagement of any individual who is an employee of the Company; (c) urge, induce or seek to induce any individual to terminate his/her employment with the Company; or (d) advise, suggest to or recommend to any Competitive Business that it employ, engage the services of, or seek to employ or engage or engage the services of any individual who is an employee of the Company.

Employee Restrictions. We each recognize that due to the nature of your employment, and your relationship with the Company, you have and will continue to have access to, will continue to acquire, and will continue to assist in developing, Proprietary Information (as defined below) and additional confidential information with respect to its present and prospective services, technologies, systems, clients, customers, agents, and sales and marketing methods. You acknowledge that such information is of central importance to the Company's business and that disclosure of it to or its use by others could cause substantial loss to the Company. We each also recognize that an important part of your duties will be to develop good will for the Company through your personal contact with the Company's clients, and that there is a danger that this good will, a proprietary asset of the Company, may follow if and when your relationship with the Company is terminated.

Employee Restrictions. To MTI's Knowledge none of MTI's employees (past or present, full or part-time) involved in MTI's conduct of the Fuel Cell Business is obligated under any contract or contracts ((including licenses, agreements, covenants and other commitments of any nature), or is subject to any order, writ, judgment, injunction, decree, determination or award of any court, administrative agency or other tribunal, that restricts the employee's activities on behalf of MTI's conduct of the Fuel Cell Business or interferes with the use of such employee's best efforts to promote the interests of MTI in the conduct of the Fuel Cell Business.
Employee Restrictions. During the term of the MARKETING AGREEMENT, and for a period of one (1) year thereafter, neither PARTY, without the prior written consent of the other PARTY, shall solicit or employ any employee of the other PARTY who is responsible for completing obligations of the other PARTY under the MARKETING AGREEMENT or the MTDA.
