Duties of USOM. Pursuant to Section 3.A. of the Cooperation Agreement, the USOM is required to document, certify and submit to the Financing Entity all Eligible Costs for which the USOM seeks reimbursement under the Act. In furtherance thereof, and to permit the Financing Entity to deliver to the Trustee the requisitions required by the Indenture, the USOM agrees to deliver to the Financing Entity payment requests for each requested disbursement and evidence substantiating any and all of the Eligible Costs indicated in such request, together with other documents as the Financing Entity may request, including, but not limited to, all documents required by the Indenture which are under the purview of the USOM. The USOM shall design, construct, own and maintain the Museum in accordance with the terms of the Resolution and the Cooperation Agreement. Without limiting the generality of the foregoing, the USOM shall comply in all respects with the terms and conditions of Section 4 “Design, Construction, Ownership and Maintenance of the Museum” and Section 5Reports and Meetings” of the Cooperation Agreement. The USOM will comply with all federal, state and local statutes, laws, ordinances and regulations applicable to the design, construction, ownership and maintenance of the Museum, including, without limitation, all applicable City codes, ordinances and planning requirements with regard to development and construction of the Museum. The USOM further hereby reaffirms its other obligations under the Cooperation Agreement, including, without limitation, the obligations to comply with the Act and the Resolution.

  • Other Duties of OFI OFI shall, at its own expense, provide and supervise the activities of all administrative and clerical personnel as shall be required to provide effective corporate administration for the Fund, including the compilation and maintenance of such records with respect to its operations as may reasonably be required; the preparation and filing of such reports with respect thereto as shall be required by the Commission; composition of periodic reports with respect to its operations for the shareholders of the Fund; composition of proxy materials for meetings of the Fund's shareholders and the composition of such registration statements as may be required by federal securities laws for continuous public sale of shares of the Fund. OFI shall, at its own cost and expense, also provide the Fund with adequate office space, facilities and equipment.
