Duties of Fiscal Agent. The Fiscal Agent accepts its obligations herein set forth upon the terms and conditions hereof, including the following, to all of which the Company agrees and to all of which the rights of Holders of Securities are subject:
Duties of Fiscal Agent. Each of the Fiscal Agent and the Replacement Agent shall hold in safe keeping all unauthenticated and, if applicable, uneffectuated Temporary Global Notes, Permanent Global Notes, Definitive Notes and Coupons delivered to it in accordance with Clause 3.5 (Availability) and shall ensure that they are authenticated (in the case of Temporary Global Notes, Permanent Global Notes and Definitive Notes), effectuated (in the case of Temporary Global Notes and Permanent Global Notes and delivered only in accordance with the terms hereof, of the Conditions and of the Temporary Global Note or (as the case may be) the Permanent Global Note.
Duties of Fiscal Agent. (a) The Fiscal Agent acts under this Agreement solely as agent of the Company and does not assume any obligation or relationship of agency or trust for or with the Holders of the Securities; all funds held by the Fiscal Agent for the payment of principal of or interest on, and any other amounts with respect to, the Securities need not be segre- gated from other funds, except as required by law, and shall be applied as set forth herein and in the Securities. The Fiscal Agent need perform only those duties that are specifically set forth in this Agreement and no others.
Duties of Fiscal Agent. (a) The Fiscal Agent acts under this Agreement solely as agent of MBIA and does not assume any obligation or relationship of agency or trust for or with the Holders of the Notes, except that all funds held by the Fiscal Agent for the payment of the Redemption Price or Make Whole Redemption Price with respect to, or principal of or interest on, and any other amounts with respect to, the Notes shall be held in trust but need not be segregated from other funds, except as required by law, and shall be applied as set forth herein and in the Notes. The Fiscal Agent shall be under no liability for interest on any money received by it hereunder except as otherwise agreed in writing with MBIA. The Fiscal Agent need perform only those duties that are specifically set forth in this Agreement and no others and no implied covenants or obligations shall be read into this Agreement against the Fiscal Agent.
Duties of Fiscal Agent. (a) The Fiscal Agent shall pay from the COI Deposit held in the Costs of Issuance Account those Costs of Issuance for which the Fiscal Agent has received a written invoice; provided that (i) each payee is listed as entitled to payment of Costs of Issuance on Exhibit A to this Agreement, (ii) the amount paid shall not exceed the amount set forth with respect to such payee in Exhibit A and (iii) amounts on deposit in the Costs of Issuance Account are sufficient to cover such payment. All payments shall be made by check or wire transfer in accordance with the payment instructions set forth in the respective invoice and the Fiscal Agent may rely on such payment instructions as though given by the Underwriters with no duty to investigate or inquire as to the authenticity of the invoice or the payment instructions contained therein.
Duties of Fiscal Agent. The Fiscal Agent shall hold in safe custody the unauthenticated Global Notes and all unauthenticated Definitive Notes delivered to it in accordance with Clause 3.4 (Availability) and shall ensure that they are authenticated (in the case of the Global Notes and Definitive Notes) and delivered only in accordance with the terms hereof, of the Conditions and of the Global Notes, as applicable.
