Global Notes and Definitive Notes Clause Examples

The 'Global Notes and Definitive Notes' clause defines the forms in which debt securities are issued and held, distinguishing between global notes—electronic or paper certificates representing multiple securities held by a central depositary—and definitive notes, which are individual physical certificates issued to holders. In practice, global notes facilitate efficient trading and settlement by allowing large numbers of securities to be managed collectively, while definitive notes are typically issued only in specific circumstances, such as when electronic systems are unavailable or to certain investors. This clause ensures clarity in how securities are represented and transferred, reducing administrative complexity and mitigating risks associated with physical certificate handling.
