Determination that Milestones Have Occurred. Licensee shall notify MedImmune promptly of the achievement of each of the events identified as a milestone in Section 5.2.1 or Section 5.2.2. In the event that, notwithstanding the fact that Licensee has not provided MedImmune such a notice, MedImmune believes that any such milestone has been achieved, it shall so notify Licensee in writing and the Parties shall promptly meet and discuss in good faith whether such milestone has been achieved. Any dispute under this Section 5.2.3 regarding whether or not such a milestone has been achieved shall be subject to resolution in accordance with Section 11.5.
Determination that Milestones Have Occurred. Licensee shall notify AstraZeneca promptly of the achievement of each of the events identified as a milestone in Section 4.3.1 or Section 4.3.2. In the event that, notwithstanding the fact that Licensee has not provided AstraZeneca such a notice, AstraZeneca believes that any such milestone has been achieved, it shall so notify Licensee in writing and the Parties shall promptly meet and discuss in good faith whether such milestone has been achieved. Any dispute under this Section 4.3.3 regarding whether or not such a milestone has been achieved shall be subject to resolution in accordance with Section 10.5.
Determination that Milestones Have Occurred. Mereo shall notify AstraZeneca promptly of the achievement of each of the events identified as a milestone in Section 8.4.1 or Section 8.4.2. In the event that, notwithstanding the fact that Mereo has not provided AstraZeneca such a notice, AstraZeneca believes that any such milestone has been achieved, it shall so notify Mereo in writing and the Parties shall promptly meet and discuss in good faith whether such milestone has been achieved. Any dispute under this Section 8.4.3 regarding whether or not such a milestone has been achieved shall be subject to resolution in accordance with Section 16.6.

In the event that, notwithstanding the fact that Licensee has not provided MedImmune such a notice, MedImmune believes that any such milestone has been achieved, it shall so notify Licensee in writing and the Parties shall promptly meet and discuss in good faith whether such milestone has been achieved. Determination that Milestones Have Occurred. Licensee shall notify RVL promptly of the achievement of each of the events identified as a milestone in Section 5.2.1 or Section 5.2.2. In the event that, notwithstanding the fact that Licensee has not provided RVL such a notice, RVL believes that any such milestone has been achieved, it shall so notify Licensee in writing and the Parties shall promptly meet and discuss in good faith whether such milestone has been achieved. Any dispute under this Section 5.2.3 regarding whether or not such a milestone has been achieved shall be subject to resolution in accordance with Section 11.5.
Determination that Milestones Have Occurred. Ocular shall notify Titan promptly, but in no event later than five (5) Business Days after Ocular becomes aware of the achievement of each of the events identified as a Milestone in Section 4.2.1. In the event that, notwithstanding the fact that Ocular has not provided Titan such a notice, Txxxx believes that any such Milestone has been achieved, it shall so notify Ocular in writing and the Parties shall promptly meet and discuss in good faith whether such Milestone has been achieved. Any dispute under this Section 4.2.2 regarding whether or not such a Milestone has been achieved shall be subject to resolution in accordance with Section 10.4.
Determination that Milestones Have Occurred. Midatech shall notify Novartis (i) promptly, but in no event later than [***] Business Days after Midatech has been notified by the relevant Regulatory Authority, or otherwise becomes aware, of the achievement of each of the events identified as a milestone in Section 4.2.1, and (ii) promptly of the achievement of each of the events identified as a milestone in Section 4.2.2. In the event that, notwithstanding the fact that Midatech has not provided Novartis such a notice, Novartis believes that any such milestone has been achieved, it shall so notify Midatech in writing and the Parties shall promptly meet and discuss in good faith whether such milestone has been achieved. Any dispute under this Section 4.2.3 regarding whether or not such a milestone has been achieved shall be subject to resolution in accordance with Section 10.5.
Determination that Milestones Have Occurred. PARTNER shall notify REGENX promptly of the achievement of each of the events identified as a milestone in Section 8.2.1 or Section 8.2.2. In the event that, notwithstanding the fact that PARTNER has not provided REGENX such a notice, REGENX believes that any such milestone has been achieved, it shall so notify PARTNER in writing, and the Parties will work in good faith to resolve such dispute in accordance with Section 14.5.
Determination that Milestones Have Occurred. The Licensee shall notify Eisai promptly of the achievement of each of the events identified as a milestone event in Section 5.2.1 and Eisai shall invoice the Licensee for the corresponding milestone payment within [***] ([***]) days after receipt of such notice. In the event that, notwithstanding the fact that the Licensee has not provided Eisai such a notice, Eisai believes that any such milestone has been achieved, it shall so notify the Licensee in writing and the Parties shall promptly meet and discuss in good faith whether such milestone has been achieved. Any dispute under this Section 5.2.2 regarding whether or not such a milestone has been achieved shall be subject to resolution in accordance with Section 11.5.
