DELAY IN TRANSFER. Should transfer of the PROPERTY be delayed, and such delay, in the opinion of Conveyancers, is caused by the PURCHASER, or the PURCHASER’S agents, then the Conveyancers shall be entitled to give written notice to the PURCHASER, calling upon him to remedy the delay failing which the PURCHASER will be charged interest on the outstanding purchase price at the effective interest rate, by way of xxxx interest until the PURCHASER ceases to delay the matter. This interest, if applicable, shall be in addition to any occupational interest provided for herein, and in addition to further claims of damages, incurred by the SELLER as a result of such delay.

DELAY IN TRANSFER. Except as may occur upon conversion of the Company or upon transfers of Interest to a corporation pursuant to Section 14.1, if, in the determination of the non-transferring Preferred Members, a proposed Transfer would, alone or in conjunction with one or more other Transfers cause the Company to lose its partnership status or terminate its partnership existence for U.S. Federal income tax purposes, such Transfer (if otherwise permitted) shall be delayed in whole or in part until the earliest time as determined by the non-transferring Preferred Members that such Transfer may occur without causing the Company to lose its partnership status or to terminate for U.S. Federal income tax purposes. If at any time more than one Transfer is being delayed under this Section 8.2.3, such Transfers shall be made in the order in which the Company received written notice of the proposed Transfers under this Section.

This may happen if we need to confirm that the transaction has been authorised, due to verification checks or due diligence reviews, or for reversed payments to the Customer’s Account (e.g., as a result of a chargeback). XPATE is not responsible for such delays.

The Seller shall deposit in the Collection Account in immediately available funds on the Business Day preceding such Distribution Date, in payment for such purchase, an amount equal to the sum of the amounts specified therefor with respect to each outstanding Series in the related Supplement. Notwithstanding anything to the contrary in this Agreement, such amounts shall be distributed to the Investor Certificateholders on such Distribution Date in accordance with Article IV and the terms of each Supplement. If the Trustee or the Investor Certificateholders give notice directing the Seller to purchase the Certificateholders' Interest as provided above, the obligation of the Seller to purchase the Certificateholders' Interest pursuant to this Section 2.03 shall constitute the sole remedy respecting an event of the type specified in the first sentence of this Section 2.03 available to the Investor Certificateholders (or the Trustee on behalf of the Investor Certificateholders).

  • Exclusion of Certain Transactions (i) If the Company or the Operating Partnership shall propose to enter into any transaction in which the Advisor, any Affiliate of the Advisor or any of the Advisor’s directors or officers has a direct or indirect interest, then such transaction shall be approved by a majority of the Board not otherwise interested in such transaction, including a majority of the Independent Directors.
