Debt Indemnity. The National MGP, from and after the Closing Date, shall indemnify and hold harmless Purchaser Holdings and its affiliates, any successors thereto, or any of the preceding persons who subsequent to the Closing Date guarantees or otherwise incurs any liability with respect to the Indemnified Debt (as defined below), from and against any and all Losses arising or resulting from, or relating to any payments that Purchaser Holdings and its affiliates or any successors thereto are required to make (and make) from their own funds (after prior recourse is had to the assets of the Purchaser OLP); with respect to the National OLP debt at the Closing Date (as set forth on Schedule 9.2(a)) and any refinancing, refunding or replacement thereof ("Indemnified Debt"), due to the inability of the Purchaser OLP to pay or refinance any such Indemnified Debt from the assets of the Purchaser OLP. The National MGP shall be subrogated to such rights of Purchaser Holdings to the extent that the National MGP has made any payment in respect of the indemnity referred to in this Section 9.2(a) (the "Debt Indemnity"). Purchaser Holdings acknowledges that the National MGP will make no representations, warranties or covenants (including without limitation regarding net worth of the National MGP) in connection with the Debt Indemnity.

Debt Indemnity. The SF General Partner, from and after the Closing Date, shall indemnify and hold harmless the KM General Partner and New LP from and against any and all Losses arising or resulting from, or relating to any payments that New LP, as the general partner of the Operating Partnership, or the KM General Partner, as general partner of New LP, is required to make (and makes) from its own funds (after prior recourse is had to the assets of the Operating Partnership) with respect to the First Mortgage Notes and any refinancing, refunding or replacement thereof ("Indemnified Debt"), due to the inability of the Operating Partnership to pay or refinance any such Indemnified Debt from the assets of the Operating Partnership. The indemnity described in this Section 9.2(a) ("Debt Indemnity") shall be limited to the amount of $190 million. The SF General Partner shall be subrogated to such rights of New LP to the extent that the SF General Partner has made any payment in respect of the Debt Indemnity.
Debt Indemnity. Indemnitor, from and after the Closing Date and until termination of the Debt Indemnity (as defined below) pursuant to paragraph 4 hereof, shall indemnify and hold harmless EPB and EPP GP (collectively, the “Indemnified Parties”) from and against any payment obligations to the extent that any of the Indemnified Parties are fully and unconditionally obligated to repay from its own funds principal outstanding under the Operating Company Debt up to but not exceeding the Maximum Aggregate Obligation (collectively, “Losses”) and any Qualified Refinancing of such amount of Operating Company Debt (collectively, the “Designated Debt”) due to the inability of the Operating Company to pay or refinance any such Designated Debt from the assets of the Operating Company, including, but not limited to, any liability imposed by operation of law and the liability of any Indemnified Party who may be a subrogee with respect to the Designated Debt, but only after (a) an Indemnified Party shall have failed to make a payment in respect of any guarantee of such Designated Debt as such payment has become due and payable pursuant to the terms and conditions of the applicable guaranty, (b) default and acceleration of such Designated Debt and demand for payment by any Indemnified Party in accordance with paragraph 7, and (c) to the extent the assets of EPB are insufficient to pay such Losses, based on the assumption that all the assets of EPB were sold and the proceeds were applied first to pay such Losses (the “Indemnified Claims”). The indemnity described in this paragraph 1.1 (the “Debt Indemnity”) shall initially be equal to the Maximum Aggregate Obligation. Any amounts payable under this Agreement by the Indemnitor shall be paid within 60 days following the event giving rise to the Indemnified Claim.
Debt Indemnity. 11.3. The Sellers shall indemnify and hold the Purchaser harmless on a dollar-for-dollar basis from the first dollar for any debt owed at Completion (“Completion Debt”) by any of the Group Companies, other than (i) the current liabilities or (ii) the debt which is to be repaid at Completion in accordance with the provisions of the Completion Agenda and the Payment Schedule. For the avoidance of doubt it is mentioned that Completion Debt shall only include obligations of the relevant Group Companies as a result of such Group Companies entering into an agreement with third parties (for the purpose of this Clause ‎11.3: including any of the Sellers) with a view of borrowing any monies from such third party and shall therefore not include any liabilities or obligations of any of the Group Companies that have arisen otherwise. The Parties expressly agree that this debt indemnity under this Clause ‎11.3 shall not be subject to the limitations set out in Clauses ‎10 and 13 to this Agreement, and shall not have any impact on any other obligations of the Sellers under this Agreement provided that the aggregate liability of the Sellers under this Clause ‎11.3 shall not exceed an amount equal to the Consideration less any amount for which the Sellers have otherwise been successful held liable by the Purchaser. Furthermore, any indemnity under this Clause ‎11.3 shall not reduce the Sellers liabilities under any Clause of this Agreement and shall not be counted against any of such liabilities.

  • Continuing Indemnity Lessor may require Lessee to effect and to maintain insurance after the Expiry Date with respect to its liability under the indemnities in Clause 10 for such period as Lessor may reasonably require (but in any event not more than 3 years) which provides for each Indemnitee to be named as additional insured. Lessee's obligation in this Clause shall not be affected by Lessee ceasing to be lessee of the Aircraft and/or any of the Indemnitees ceasing to have any interest in respect of the Aircraft.

  • Waivers; Indemnity The failure of Silicon at any time or times to require Borrower to strictly comply with any of the provisions of this Agreement or any other Loan Document shall not waive or diminish any right of Silicon later to demand and receive strict compliance therewith. Any waiver of any default shall not waive or affect any other default, whether prior or subsequent, and whether or not similar. None of the provisions of this Agreement or any other Loan Document shall be deemed to have been waived by any act or knowledge of Silicon or its agents or employees, but only by a specific written waiver signed by an authorized officer of Silicon and delivered to Borrower. Borrower waives the benefit of all statutes of limitations relating to any of the Obligations or this Agreement or any other Loan Document, and Borrower waives demand, protest, notice of protest and notice of default or dishonor, notice of payment and nonpayment, release, compromise, settlement, extension or renewal of any commercial paper, instrument, account, General Intangible, document or guaranty at any time held by Silicon on which Borrower is or may in any way be liable, and notice of any action taken by Silicon, unless expressly required by this Agreement. Borrower hereby agrees to indemnify Silicon and its affiliates, subsidiaries, parent, directors, officers, employees, agents, and attorneys, and to hold them harmless from and against any and all claims, debts, liabilities, demands, obligations, actions, causes of action, penalties, costs and expenses (including reasonable attorneys' fees), of every kind, which they may sustain or incur based upon or arising out of any of the Obligations, or any relationship or agreement between Silicon and Borrower, or any other matter, relating to Borrower or the Obligations; provided that this indemnity shall not extend to damages proximately caused by the indemnitee's own gross negligence or willful misconduct. Notwithstanding any provision in this Agreement to the contrary, the indemnity agreement set forth in this Section shall survive any termination of this Agreement and shall for all purposes continue in full force and effect.

  • Seller Indemnity Seller shall, effective from and after the Closing ----------------- Date, as the sole and exclusive obligation of Seller with respect to this Agreement or the Property, except as provided further in this Section, indemnify, defend and hold Buyer harmless from and against any actual, direct damages (and reasonable attorneys' fees and other legal costs) incurred by Buyer within one (1) year of the Closing Date which Buyer can prove Buyer would not have incurred but for any inaccuracy as of the Closing Date in the representations and warranties of Seller set forth in the Section hereof entitled "Representations and Warranties of Seller," and Article 11 Entitled Brokers but specifically excluding any statement of facts, whenever occurring, that Buyer had notice of on or before the Closing Date. Such agreement by Seller to so indemnify, defend and hold Buyer harmless shall be null and void except to the extent that, within one (1) year of the Closing Date, Buyer has actually incurred such damage and Seller has received notice from Buyer pursuant to Article 9 hereof entitled "NOTICES" referring to this Section and specifying the amount nature and facts underlying any claim being made by Buyer hereunder. In addition, Seller shall indemnify defend and hold Buyer harmless from and against any actual, direct damages (and reasonable attorneys' fees and other legal costs) incurred by Buyer for a claim which: (a) is made by a third party alleging a tort committed by Seller, or (b) alleges bodily injury or property damage related to the Property and occurring before the Closing Date; provided that such claim does not arise out of or in any way relate to Hazardous Material or pollutants. Additionally, this provision does not limit the Buyer's remedies under Section 15.3 of this Agreement.

The indemnity agreement contained in this Section 5.6(a) shall not apply to amounts paid in settlement of any such loss, claim, damage, liability or action if such settlement is effected without the consent of the Company (which consent will not be unreasonably withheld).

The indemnity agreement contained in this Section 5.6(b) shall not apply to amounts paid in settlement of any such claims, losses, damages or liabilities if such settlement is effected without the consent of such Holder (which consent shall not be unreasonably withheld).

  • Expenses; Indemnity (a) Borrower covenants and agrees to pay or, if Borrower fails to pay, to reimburse, Lender upon receipt of notice from Lender for all costs and expenses (including reasonable attorneys’ fees and disbursements) incurred by Lender in connection with (i) the preparation, negotiation, execution and delivery of this Agreement and the other Loan Documents and the consummation of the transactions contemplated hereby and thereby and all the costs of furnishing all opinions by counsel for Borrower (including without limitation any opinions requested by Lender as to any legal matters arising under this Agreement or the other Loan Documents with respect to the Property); (ii) Borrower’s ongoing performance of and compliance with Borrower’s respective agreements and covenants contained in this Agreement and the other Loan Documents on its part to be performed or complied with after the Closing Date, including, without limitation, confirming compliance with environmental and insurance requirements; (iii) Lender’s ongoing performance and compliance with all agreements and conditions contained in this Agreement and the other Loan Documents on its part to be performed or complied with after the Closing Date; (iv) the negotiation, preparation, execution, delivery and administration of any consents, amendments, waivers or other modifications to this Agreement and the other Loan Documents and any other documents or matters requested by Lender; (v) securing Borrower’s compliance with any requests made pursuant to the provisions of this Agreement; (vi) the filing and recording fees and expenses, title insurance and reasonable fees and expenses of counsel for providing to Lender all required legal opinions, and other similar expenses incurred in creating and perfecting the Liens in favor of Lender pursuant to this Agreement and the other Loan Documents; (vii) enforcing or preserving any rights, either in response to third party claims or in prosecuting or defending any action or proceeding or other litigation, in each case against, under or affecting Borrower, this Agreement, the other Loan Documents, the Property, or any other security given for the Loan; and (viii) enforcing any obligations of or collecting any payments due from Borrower under this Agreement, the other Loan Documents or with respect to the Property, or in connection with any refinancing or restructuring of the credit arrangements provided under this Agreement in the nature of a “work-out” or of any insolvency or bankruptcy proceedings or any other amounts required under Section 9.3; provided, however, that Borrower shall not be liable for the payment of any such costs and expenses to the extent the same arise by reason of the gross negligence, illegal acts, fraud or willful misconduct of Lender. Any cost and expenses due and payable to Lender may be paid by Lender from any Reserve Account.

  • Special Indemnity Subject to the limitations contained in Sections 8.6.1 and 8.6.2, each of the Stockholders hereby severally and not jointly agrees to indemnify Parent Indemnified Parties against, and to protect, save and keep harmless Parent Indemnified Parties from, and to assume liability for, the payment of all Losses that may be imposed on or incurred by any Parent Indemnified Party as a consequence of or in connection with, incident to, resulting from or arising out of or in any way related to or by virtue of: (a) any misrepresentation, inaccuracy or breach of a representation or warranty by any Stockholder contained in Article III.A hereof; and (b) any action, demand, proceeding, investigation or claim by any third party (including any Governmental or Regulatory Authority) against or affecting any Parent Indemnified Party which may give rise to or evidence the existence of or relate to a misrepresentation or breach of any of the representations and warranties of any Stockholder contained in Article III.A hereof or in any certificate delivered by any Stockholder at the Closing. Any claim for indemnity made under this Section 8.2.2 shall not be construed as a claim under Section 8.2.1 hereof even if an Parent Indemnified Party could have made a claim under Section 8.2.1 hereof in respect of the same matters.
