Day Review Period. The Employee acknowledges that he was provided this Agreement more than 21 days before the date when he was required to make an election concerning the Severance Benefits. If the Employee signs this Agreement prior to the end of the 21-day period, he certifies and agrees that the decision to accept such shortening of time is knowing and voluntary and is not induced by the Company through: (i) fraud, misrepresentation, or a threat to withdraw or alter the offer prior to the end of the 21-day period; or (ii) an offer to provide different terms in exchange for signing the Release prior to the expiration of the 21-day period. Should the Employee sign this Agreement before the expiration of the 21-day period, the Company may at its option and discretion expedite the processing of some or all of the Severance Benefits, subject to the revocation period set forth in Paragraph 10.

Day Review Period. I acknowledge that in connection with the foregoing Waiver and Release Agreement (the “Agreement”) between Sciele Pharma, Inc. (“Company”) and me, [Name of Executive], the Company has advised me that pursuant to the Older Workers Benefit Protection Act, I have twenty-one (21) days to review the Agreement before I execute it and return it to the Company. I hereby waive my right to this twenty-one (21) day review period and wish to execute the Agreement prior to the conclusion of this twenty-one (21) day period. However, I understand that I have seven (7) days to revoke this waiver should I change my mind. I further understand that the Agreement shall not be binding on the Company or me until seven (7) days after I sign the Agreement.

Upon receipt of the CGMP Batch Documentation for a Conforming CGMP Batch, Client must notify Cytovance in writing of its acceptance or rejection of the Conforming CGMP Batch within sixty (60) days. If Client receives the Conforming CGMP Batch in accordance with Section 7.6(c) above, it may conduct its own testing (or testing done at its behalf by a Third Party) on a Conforming CGMP Batch within this 60 day period to determine whether to accept or reject the Conforming CGMP Batch. During this review period, the Parties will respond within seven days to any reasonable inquiry or request for a correction or change by the other Party with respect to the CGMP Batch Documentation.
