Date, Location. Subject to the conditions set forth in Article 14, the Closing shall occur on the Closing Date at the offices of CHP in Cincinnati, Ohio, or at such place as the Parties may mutually agree, but shall be effective as of 12:01 a.m. (Eastern Standard Time) on the Closing Date (the “Effective Time”). Unless the Parties otherwise agree, the Closing Date will be on the first calendar day of a month.
