The Issuer shall indemnify each of ISC and the Agent against all costs, expenses and indemnities (including reasonable attorneys' fees) incurred by ISC or the Agent under the terms of the Liquidity Agreement or the Letter of Credit Agreement, EXCLUDING, HOWEVER, any such costs, expenses or indemnities to the extent resulting from the willful misconduct or gross negligence of ISC or the Agent.
