For clarification purposes, the Sellers represent and warrant that no resolutions have been adopted by the Director(s) of the Company before 25 March 2009.

Its corporate records and minute books have been maintained substantially in accordance with all Applicable Laws and are complete, up to date and accurate in all material respects and respectively contain full, true and correct copies of the constating documents of the Seller, copies of all minutes of all meetings and all written resolutions of the directors, committees of directors and shareholders of the Seller, including all special approvals required under the MPSA Shareholders’ Agreement, and all such meetings were duly called and properly held and all written resolutions were properly adopted under Applicable Laws and the constating documents.
