CONSTRUCTION OF THIS ORDER. A: DEFINITIONS. In these Conditions, the following definitions are used: - Arkay: Arkay Windows Limited a company incorporated in England and Wales under company number 01238359 and having its registered office at 000-000 Xxxxxxxx Xxxx, Xxxxxx, X00 0XX; and Business Day: a day (other than a Saturday, Sunday or public holiday) when banks in London are open for business; and Conditions: the terms and conditions set out in this agreement as amended from time to time in accordance with Clause 14.6; and Clause: means the clauses of these standard terms; and Contract: means the Order Confirmation and these Standard Terms together with any Specification; and Customer: the person who purchases the Goods and (if any) Services from Arkay full details of the Customer being set out in the Order Confirmation; and Delivery Location: is as specified in the Order Confirmation; and Deposit: the percentage of the Order Sum that is identified in the Order Confirmation as being the deposit payable by the Customer under this Contract; and End User: means the owner or occupier of the building where the Goods are installed; and

CONSTRUCTION OF THIS ORDER. 1000 Agreement Ambiguities or uncertainties in the wording of this Order 1000 Agreement shall not be construed for or against any Order 1000 Party or ColumbiaGrid, but shall be construed in a manner that most accurately reflects the purpose of this Order 1000 Agreement and the nature of the rights and obligations of the parties with respect to the matter being construed.

  • Construction of this Agreement The Parties agree that each Party and its legal counsel have reviewed and revised this Agreement and that any rule of construction to the effect that ambiguities are to be resolved against the drafting Party shall not apply in the interpretation of this Agreement or any amendments or exhibits thereto.

  • Operation of this Agreement (a) This Agreement contains the entire agreement between the parties about its subject matter. Any previous understanding, agreement, representation or warranty relating to that subject matter is replaced by this Agreement and has no further effect.

  • Variation of this Agreement 9.01 The “Bank” may, from time to time at its sole and absolute discretion and determination vary, change, alter, modify, and/ or amend the terms and conditions of this Agreement, which variation, change, alteration, modification and/or amendment shall immediately become binding on the “Cardholder”. Such variation, alteration, modification, and/or amendment shall be notified to the “Cardholder” by the “Bank” either in writing or by publication thereof or by such means as the “Bank” may determine and a variation, alteration, modification, and/or amendment so notified shall be binding on the “Cardholder”.

  • Application of this Agreement 2.1 All facilities made available by the Bank to any Person in respect of a Card or a Card Account are subject to the terms and conditions of this Agreement (as may be amended from time to time subject to prior notice) and any other applicable terms and conditions. A Person becomes subject to such terms and conditions (if not already so subject) by signing, activating or using a Card or permitting its use.

  • Modification of this Agreement This Agreement may not be modified, nor may compliance with any of its terms be waived, except as noted in Section 11.1, “Notices to Parties,” regarding change in personnel or place, and except by written instrument executed and approved in the same manner as this Agreement. Contractor shall cooperate with Department to submit to the Director of CMD any amendment, modification, supplement or change order that would result in a cumulative increase of the original amount of this Agreement by more than 20% (CMD Contract Modification Form).

  • Execution of this Agreement This Agreement may be executed in multiple counterparts, each of which will be deemed to be an original copy of this Agreement and all of which, when taken together, will be deemed to constitute one and the same agreement. The exchange of copies of this Agreement and of signature pages by facsimile or other electronic transmission shall constitute effective execution and delivery of this Agreement as to the parties and may be used in lieu of the original Agreement for all purposes.

  • Termination of this Contract i. This Contract can be terminated by the Account Holder in accordance to Clause 6(ii) above and by Finductive in accordance with 6(iii) above;

  • Duration of this Agreement The Term of this Agreement shall be as specified in Schedule A hereto.

  • APPLICATION OF THIS PART 1.1 This Part A applies if you have requested in your Application that we supply you with Voice Services and sets out the terms and conditions on which we will supply you with Voice Services.

  • Application of this clause (a) The Recipient must ensure that any subcontract entered into for the purpose of this Agreement contains an equivalent clause granting the rights specified in this clause 9.
