Conditioned. This Agreement is conditioned on approval by the Minnesota Board of Water and Soil Resources to the extent such approval is required by the Grant Agreement.
Conditioned. GLOBALEYES may also require that the analog loops ordered above be in order for them to provide the end user service. Examples of this type of conditioning are: Type C, Type DA, and Improved C. The price for such conditioning shall be the applicable charge as provided in Appendii D, if available, or from the appropriate GTE intrastate special access tariff. Upon GLOBALEYES request and where available, digital loops may be provisioned in a manner that allow for the transmission of digital signals required for and ADSL service without additional Addiional charges (e.g. Mid-span Repeaters) may apply for these digital loops.
Conditioned. During the first (1st) year of the term of this Agreement, Borrower's Fiscal Year shall be deemed to have commenced on the date of this Agreement and shall end on the regular Fiscal Year ending date as indicated in the immediately preceding sentence.
Conditioned. Manager shall be permitted to reallocate part or all of the amount budgeted with respect to any line item to another line item and to make such other modifications to the Operating Budget as Manager deems necessary, provided, however, that Manager may not reallocate from one Department to another without Owner's consent, which shall not be unreasonably withheld or delayed. The term "Department" shall mean and refer to those general divisional categories shown in the Operating Budget (e.g., Guest Services Department or Administration Department), but shall not mean or refer to subcategories (e.g., linen replacement or uniforms) appearing in a divisional category. In addition, in the event actual Adjusted Gross Revenues (as defined in Exhibit "C" hereto) for any calendar period are greater than those provided for in the Operating Budget, the amounts approved in the Operating Budget for suite maintenance, guest services, food and beverage, telephone, utilities, marketing and hotel repair and maintenance for any calendar month shall be automatically deemed to be increased to an amount that bears the same relationship (ratio) to the amounts budgeted for such items as actual Adjusted Gross Revenue for such month bears to the projected Adjusted Gross Revenue for such month. Owner acknowledges that the Operating Budget is intended only to be a reasonable estimate of the Hotel's income and expenses for the ensuing fiscal year. Manager shall not be deemed to have made any guarantee, warranty or representation whatsoever in connection with the Operating Budget;
Conditioned. The rights, duties and obligations of Manager under this Agreement may not be assigned or delegated by Manager in whole or in part unless the Company has consented thereto in writing which consent shall not be unreasonably withheld, delayed or conditioned. Nothing contained in this Article 6 shall prevent Manager from engaging qualified contractors, subcontractors, vendors and suppliers in the ordinary course of operating and managing the Subject Interests, but no such engagement shall relieve Manager of any of its duties or obligations hereunder.
