Condition of Entry. Landlord shall provide Tenant with not less than 24 hours’ oral notice to the on-site office manager of Tenant prior to entering the Premises for any reason other than for the provision of routine janitorial and window cleaning services, in the case of emergencies or to show the Premises to any of the parties described in Paragraph 12.2 of this Lease [including, during the last nine (9) months of the Term, prospective tenants]. Landlord agrees to use reasonable efforts to minimize any interference with Tenant’s business caused by any entry pursuant to Paragraphs 12.1 or 12.2 above. Except in the case of emergencies, or in the event Landlord is required to make repairs, alterations, additions or improvements inside the Data Center pursuant to any Legal Requirements, as set forth in Paragraph 39.4.2 of this Lease, neither Landlord, nor Landlord’s agents, representatives, contractors, vendors, employees, invitees, lessors or Mortgagees shall have the right to enter the Data Center at any time for any purpose (whether pursuant to Paragraphs 12.1 or 12.2 above, or any other provision of this Lease, including those relating to the provision of services by Landlord). Except in the case of emergencies, Landlord hereby agrees not to enter the Data Center unless accompanied by an authorized employee or agent of Tenant. Unless Tenant vacates the Premises or ceases to use the Data Center, Tenant shall staff the Data Center with at least one (1) such authorized employee or agent twenty-four (24) hours per day, seven (7) days per week, including Holidays. In the event an emergency situation occurs which, in Landlord’s reasonable judgment, requires Landlord to enter the Data Center, and if Landlord is unable to obtain access to the Data Center from an authorized employee or agent of Tenant, Landlord shall have the right to use any means necessary to enter the Data Center (forcibly, if necessary) in order to address such emergency situation. Landlord shall have no liability, and Tenant hereby waives any and all rights of recovery, claims, actions or causes of action against Landlord, in connection with any such emergency entry into the Data Center under this Paragraph 12.3, as well as for any damage alleged to have resulted therefrom (including, without limitation, damage to any entrance, door or other portions of the Premises alleged to have been damaged as a result of such entry by Landlord). Condition of Entry. In response to the Government’s traffic light preventative system to manage Covid 19, and as student accommodation facilities are deemed to be on AUT-campus all residents will be required to be fully vaccinated. Residents will have to provide evidence of vaccination status on arrival. All residents, AUT and non-AUT students are to be fully vaccinated for the duration of their residential tenancy agreement.

  • Rejection of Entries Bank shall have the right to reject any Entry which does not comply with the requirements of Section 5 of this Article III and the requirements of Article VII ("Security Procedures"), or which contains an Effective Entry Date more than two (2) days after the Business Day such Entry is received by Bank. Bank shall have the right to reject an On-Us Entry for any reason for which an Entry may be returned under the Rules. Bank shall have the right to reject any Entry if Company has failed to comply with its account balance obligations as set forth in Section 11 below. Bank shall notify Company by phone or electronic transmission of such rejection no later than the Business Day such Entry would otherwise have been transmitted by Bank to the ACH Operator or, in the case of an On-Us Entry, its Effective Entry Date. Bank shall have no liability to Company by reason of the rejection of any such Entry or the fact that such notice is not given at an earlier time than that provided for herein.

  • Condition of Equipment Each Grantor will maintain or cause to be maintained and preserved in good condition, repair and working order, ordinary wear and tear excepted, the Equipment (necessary or useful to its business) and will forthwith, or in the case of any loss or damage to any Equipment of any Grantor within a commercially reasonable time after the occurrence thereof, make or cause to be made all repairs, replacements and other improvements in connection therewith which are necessary or desirable, consistent with past practice, or which the Collateral Agent may request to such end. Any Grantor will promptly furnish to the Collateral Agent a statement describing in reasonable detail any such loss or damage in excess of $25,000 per occurrence to any Equipment.

  • Rights of entry 4.12.1 The Tenant shall allow the Landlord and its agents, with any necessary contractors and workmen, to enter the Premises at all reasonable times on prior notice (or in the event of an emergency at any time without notice) for any purpose whatsoever including the following:

  • Presumption of Entitlement Notwithstanding any other provision hereof, in making any Standard of Conduct Determination, the Person making such determination shall presume that Indemnitee has satisfied the applicable Standard of Conduct.

  • Inspection of Equipment  The Contractor’s equipment is inspected by an authorised Eskom employee on arrival at the site.  The following documentation is required to accompany the equipment where applicable: copies of all test certificates and maintenance records.  Lifting equipment and electrical equipment must be marked with a unique number, code or colour code for identification. If the equipment is found to be in an unsatisfactory condition or if insufficient maintenance has been carried out on the equipment then it will not be approved for use on Site. A list of all lifting equipment and electrical equipment must be submitted to the Employer at least 2 days prior to the occupation date. This list must indicate the unique number and description of the equipment.  Training requirements must comply with the Works Information and statutory requirements.

  • Condition of Premises The Premises are demised to Tenant and Tenant accepts the same “as-is”, except that (a) if, not later than sixty (60) days following the date of this Lease, Tenant notifies Landlord that the Initial Premises or a portion thereof (clearly designated in such notice to Landlord) are to be delivered in shell condition (but absent such notice Landlord will not otherwise be obligated to perform the Shell Work, time being of the essence of such notice), the Landlord shall, with respect to such designated portion(s) of the Premises, perform the Shell Work described in Exhibit B-1 at Landlord’s sole cost and expense prior to September 1, 2013, and all other work necessary to prepare the Initial Premises for Tenant’s occupancy shall be performed at Tenant’s sole cost and expense, in accordance with the applicable provisions of this Lease and (b) as to space added to the Premises pursuant to Section 42.01, if Tenant elects as provided therein, that some or all of the space so added shall be delivered in shell condition (but absent such notice Landlord will not otherwise be obligated to perform the Shell Work, time being of the essence of such notice), the Landlord shall, with respect to such designated portion(s) of the Premises, perform the Shell Work described in Exhibit B-1 at Landlord’s sole cost and expense prior to the date which is ninety (90) days following the date on which the additional space would be delivered under Section 42.01 but for the Tenant election that the same be delivered in shell condition, and all other work necessary to prepare the space so added under Section 42.01 for Tenant’s occupancy shall be performed at Tenant’s sole cost and expense, in accordance with the applicable provisions of this Lease. Tenant’s taking possession of any portion of the Premises shall be conclusive evidence that such portion of the Premises was in good order and satisfactory condition when Tenant took possession, and except for latent defects not readily apparent from a careful inspection of the Premises without cutting into or otherwise disturbing walls, floors or ceilings and punchlist items of which Tenant has delivered notice to Landlord, excluding items of damage caused by Tenant or its agents, independent contractors or suppliers (subject to the provisions of Section 3.01 of this Lease). No promise of Landlord to alter, remodel or improve the Property and no representation by Landlord or its agents respecting the condition of the Property has been made to Tenant or relied upon by Tenant other than as may be contained in this Lease or in any written amendment hereto signed by Landlord and Tenant.

  • RIGHT OF ENTRY AND INSPECTION OWNER may enter, inspect, and/or repair the premises at any time in case of emergency or suspected abandonment. OWNER shall give 24 hours advance notice and may enter for the purpose of showing the premises during normal business hours to prospective renters, buyers, lenders, for smoke alarm inspections, and/or for normal inspections and repairs. OWNER is permitted to make all alterations, repairs and maintenance that in OWNER'S judgment is necessary to perform.

  • Determination of Entitlement (a) Where there has been a written request by Indemnitee for indemnification pursuant to Section 5.01(b), then as soon as is reasonably practicable (but in any event not later than 60 days) after final disposition of the relevant Proceeding, a determination, if required by applicable law, with respect to Indemnitee’s entitlement thereto shall be made in the specific case: (i) if a Change of Control shall not have occurred, (A) by a majority vote of the Disinterested Directors, even though less than a quorum of the Board, (B) by a committee of Disinterested Directors designated by a majority vote of the Disinterested Directors, even though less than a quorum of the Board, (C) if there are no such Disinterested Directors or, if such Disinterested Directors so direct, by Independent Counsel in a written opinion to the Board, a copy of which shall be delivered to Indemnitee; or (ii) if a Change of Control shall have occurred, by Independent Counsel in a written opinion to the Board, a copy of which shall be delivered to Indemnitee. If it is so determined that Indemnitee is entitled to indemnification, payment to Indemnitee shall be made within ten (10) days after such determination. Indemnitee shall reasonably cooperate with the person, persons or entity making such determination with respect to Indemnitee’s entitlement to indemnification, including providing to such person, persons or entity upon reasonable advance request any documentation or information which is not privileged or otherwise protected from disclosure and which is reasonably available to Indemnitee and reasonably necessary to such determination. Any costs or expenses (including attorneys’ fees and disbursements) actually and reasonably incurred by Indemnitee in so cooperating with the person, persons or entity making such determination shall be borne by the Company (irrespective of the determination as to Indemnitee’s entitlement to indemnification).
