Commencement; Objective. Research under the Original Agreement commenced on May 19, 2000 and is being continued under this Agreement pursuant to the Research Program described below. Vertex will be principally responsible for the conduct of the Research Program and CFFT will provide financial support, consultation and advice as provided herein and through its participation on the JRC and the JSC as provided below. The Research Program will be directed toward the identification of Development Candidates which are suitable for development and commercialization as human therapeutics for the treatment of CF.
Commencement; Objective. Predix will be responsible for the conduct of the Research Programs as set forth herein. CFFT will provide the financial support hereinafter specified, and consultation and advice as provided herein through its participation on the JRC as provided below. The Research Program will consist of two sets of separate activities, as set forth in the Research Plan, and generally described as follows: (i) Predix will use its 3D technology and modeling expertise to model the 3D structure of the CFTR (such activities are the "Research Program I") and (ii) Predix will use its 3D GPCR technology to discover a small-molecule P2Y(2) agonist that once optimized will be a novel compound for the treatment of CF (such activities are "Research Program II" and any product containing a small-molecule P2Y(2) agonist discovered during the performance of Research Program II, whether or not the molecule has been further optimized, is a "P2Y(2) Product"). Commencement; Objective. PTI shall be solely responsible for the conduct of the Research Plan as set forth herein. CFFT shall provide the financial support hereinafter specified, and consultation, advice as provided herein through its participation on the PAG and JSC as provided below, and certain research material and know-how that CFFT determines in its sole discretion can be made available for use in the conduct of the Research Plan and PTI determines is necessary or useful for the conduct of the Research Plan, including human primary epithelial cells, to be used to validate assays, serve as positive controls, or test the efficacy/potency of discovered compounds.

The objective of the Phase 2 Clinical Trial will be to establish clinical proof of principal and to obtain sufficient information of the Product’s safety and efficacy in the Field to permit the design of further clinical studies and that would satisfy the requirements of 21 CFR 312.21(b). Cxxxxx shall be solely responsible for the conduct of the Phase 2 Clinical Trial as set forth in the Development Plan. CFF shall provide the financial support hereinafter specified, consultation and advice as provided herein through its participation on the PAG as provided below.
