CLEC Originated Traffic. 8.4.1 CLEC acknowledges and agrees that it is solely responsible for compensating Third Party Terminating Carriers for Transit Traffic that CLEC originates. AT&T-TSP will directly xxxx XXXX for CLEC-originated Transit Traffic. AT&T-TSP will not act as a billing intermediary, i.e., clearinghouse, between CLEC and Third Party Terminating Carriers, nor will AT&T-TSP pay any termination charges to the Third Party Terminating Carriers on behalf of CLEC.

CLEC Originated Traffic. 5.1 CLEC has the sole obligation to enter into traffic compensation arrangements with Third Party Terminating Carriers prior to delivering traffic to AT&T-21STATE for transiting to such Third Party Terminating Carriers. In no event will AT&T-21STATE have any liability to CLEC or any Third Party if CLEC fails to enter into such traffic compensation arrangements. In the event CLEC originates traffic that transitsAT&T-21STATE’s network to reach a Third Party Terminating Carrier with whom CLEC does not have a traffic compensation arrangement, then CLEC will indemnify, defend and hold harmlessAT&T 21STATE against any and all Losses including, without limitation, charges levied by such Third Party Terminating Carrier. The Third Party Terminating Carrier and AT&T-21STATE will bill their respective charges directly to CLEC. AT&T 21STATE will not be required to functionas a billing intermediary, e.g. clearinghouse. Under nocircumstances will AT&T-21STATE be required to pay any termination charges to the Third Party Terminating Carrier.

Furthermore, If CLEC originates Transit Traffic destined for a Third Party Terminating Carrier with whom CLEC does not have a traffic compensation arrangement, and a regulatory agency or court orders AT&T NORTH CAROLINA to pay such Third Party Terminating Carrier for the Transit Traffic AT&T NORTH CAROLINA has delivered to the Third Party Terminating Carrier, then CLEC will indemnify AT&T NORTH CAROLINA for any and all Losses related to such regulatory agency or court order, including, but not limited to, Transit Traffic termination charges, interest on such Transit Traffic Termination charges, and any billing and collection costs that AT&T NORTH CAROLINA may incur to collect any of the foregoing charges, interest or costs from CLEC.
CLEC Originated Traffic. Qwest shall xxxx XXXX, in accordance with the billing provisions of the Agreement, for all CLEC-originated Total Local Dialed Traffic based on an Initial PCMF of zero percent (0%) at the Initial Unitary Rate of $0.00078651 per minute. For example, if CLEC originated 50,000 minutes of Total Local Dialed Traffic to Qwest in a given month, Qwest will xxxx XXXX an amount equal to 50,000 times zero percent (0%) times $0.00078651. CLEC shall pay Qwest’s invoices in accordance with the payment provisions of the Agreement.
