Civil actions; administrative proceedings (other than ethics). A. Provision of legal representation. The Town or its insurance company shall provide an attorney to defend a mayor or commissioner against any administrative proceeding (other than one involving ethics) that arises out of the mayor or commissioner’s course and scope of service in office or any civil action for any injury or damage suffered as a result of any act, event, or omission that arises out of the mayor or commissioner’s course and scope of service in office, unless the mayor or commissioner acted in bad faith, with malicious purpose, or in a manner exhibiting wanton and willful disregard of human rights, safety, or property. The mere allegation that the mayor or commissioner acted outside the course and scope of service in office or acted in bad faith, malicious purpose, or in a manner exhibiting wanton and willful disregard of human rights, safety or property shall not preclude the Town, in its discretion from providing a defense. When providing a defense, the Town or its insurance company, in accordance with the terms of the insurance policy, may compromise and settle any such claim or suit and pay the amount of such settlement in its sole discretion. An administrative proceeding (other than involving an ethics claim) may include, but is not limited to any proceeding before the Florida Public Employees Relation Commission, the State of Florida Commission on Human Relations, or the Federal Equal Employment Opportunity Commission.

  • Litigation and Administrative Proceedings Except as disclosed on Schedule 6.4 hereto, there are (a) no lawsuits, actions, investigations, examinations or other proceedings pending or threatened against any Company, or in respect of which any Company may have any liability, in any court or before or by any Governmental Authority, arbitration board, or other tribunal, (b) no orders, writs, injunctions, judgments, or decrees of any court or Governmental Authority to which any Company is a party or by which the property or assets of any Company are bound, and (c) no grievances, disputes, or controversies outstanding with any union or other organization of the employees of any Company, or threats of work stoppage, strike, or pending demands for collective bargaining, in each case other than those that could not reasonably be expected to result in a Material Adverse Effect.

  • Assistance in Litigation or Administrative Proceedings Covered Entity shall provide written notice to Business Associate if litigation or administrative proceeding is commenced against Covered Entity, its directors, officers, or employees, based on a claimed violation by Business Associate of HIPAA, the HIPAA Rules or other laws relating to security and privacy or PHI. Upon receipt of such notice and to the extent requested by Covered Entity, Business Associate shall, and shall cause its employees, Subcontractors, or agents assisting Business Associate in the performance of its obligations under the Contract to, assist Covered Entity in the defense of such litigation or proceedings. Business Associate shall, and shall cause its employees, Subcontractor’s and agents to, provide assistance, to Covered Entity, which may include testifying as a witness at such proceedings. Business Associate or any of its employees, Subcontractors or agents shall not be required to provide such assistance if Business Associate is a named adverse party.

  • Administrative Proceedings With a view to administering in a consistent, impartial, and reasonable manner all measures of general application affecting matters covered by this Agreement, each Party shall ensure that in its administrative proceedings applying measures referred to in Article 73 to particular persons or goods of the other Party in specific cases that:

  • Judicial and Administrative Proceedings In the event Business Associate receives a subpoena, court or administrative order or other discovery request or mandate for release of PHI, Business Associate shall notify Covered Entity in writing prior to responding to such request to enable Covered Entity to object.
