Bulk Transfer Act. The Parties hereby waive compliance with the bulk sales act or comparable statutory provisions of each applicable jurisdiction.
Bulk Transfer Act. Subject to Article VII, the parties hereby waive compliance with any state or provincial “Bulk Transfer Act” or “Bulk Sales Act,” to the extent applicable to the transactions contemplated hereby. Parent and Sellers shall indemnify Buyer for any Losses arising out of the failure to comply with such Laws as an Excluded Liability.
Bulk Transfer Act. No transfer, assignment or conveyance of the Sold Assets by the Seller to the Buyer contemplated by this Agreement will be subject to the bulk transfer or any similar statutory provisions in effect in any applicable jurisdiction;
Bulk Transfer Act. The Parties hereby waive compliance with the state “Bulk Transfer Act,” to the extent applicable to the transactions contemplated hereby. Seller shall indemnify Buyer with respect to such waiver as a Retained Liability as provided in Section 8.1.
Bulk Transfer Act. Purchaser agrees to waive the Bulk Sales provisions, if any, of the Uniform Commercial Code for the State in which the Property is located, in consideration of Seller's indemnification described in section 13.5 below.
Bulk Transfer Act. The parties hereby waive compliance with the provisions of the Georgia Uniform Commercial Code – Bulk Transfers Act (Official Code of Georgia Annotated § 11-6-101 et. seq.)
Bulk Transfer Act. While not acknowledging the applicability of the Bulk Transfers provision of the Connecticut Uniform Commercial Code ("Bulk Sales Act"), the parties do nevertheless agree as follows:
Bulk Transfer Act. Buyer hereby waives any Bulk Sale Act compliance by Seller.
Bulk Transfer Act. The parties hereto acknowledge that they have waived compliance with the California Bulk Transfers Act. Seller shall indemnify Purchaser for any action against Purchaser by Seller's creditors (or the creditors of prior owners of Seller's business and assets) to recover debts of the Seller (or such prior owners) for any reason whatsoever, including noncompliance with the California Bulk Transfers Act. Bulk Transfer Act. At Closing, MMC shall submit a list of its creditors in compliance with Section 10.6.
