Bulk Transfers Sample Clauses

Bulk Transfers. For a bulk transfer approved by ICANN under Part B of the Transfer Policy, Registrar shall pay PIR US $0 (for transfer of 50,000 names or fewer) or US $50,000 (for transfers of more than 50,000 names).
Bulk Transfers. Buyer waives compliance by Seller with Legal -------------- Requirements relating to bulk transfers applicable to the transactions contemplated hereby.

As consideration for such waiver by the Purchaser, the Seller, EnStructure and the Parent, jointly and severally, hereby agree to indemnify the Purchaser for any loss incurred by the Purchaser resulting from the Seller’s noncompliance with any provision of any bulk sales law which is applicable to the sale of the Purchased Assets pursuant to this Agreement.

Bulk Transfers. The parties hereto waive compliance with the requirements of the bulk sales law of any jurisdiction in connection with the sale of the Technology to Purchaser hereunder. Seller shall indemnify and hold harmless Purchaser against all losses which may be incurred by Purchaser as a result of noncompliance with any such Bulk Sales Laws. 13.8
Bulk Transfers. It is the intention of the parties that this transaction comply with Division Six of the California Uniform Commercial Code, more commonly known as Uniform Commercial Code - Bulk Transfers, and Seller shall take all actions necessary to comply therewith.
