Applicable Law and Forum Selection. This Agreement and all provisions hereof shall be governed by the laws of the State of New Jersey excluding any choice of law or conflict of laws principles that would direct the substantive law of another jurisdiction to apply. Unless otherwise provided herein, User and (CCM POOL NAME) agree all disputes, litigation, and claims between the parties based on or arising out of this Agreement shall be adjudicated in a State Court or the United States District Court for the District of New Jersey.
Applicable Law and Forum Selection. The internal laws of the state of Minnesota, without giving effect to its conflict of laws principles, govern the validity, construction, and enforceability of this Agreement. A suit, claim, or other action to enforce the terms of this Agreement may be brought only in the state courts of Hennepin County, Minnesota. The Licensee hereby submits to the jurisdiction of that court and waives any objections it may have to that court asserting jurisdiction over the Licensee or its assets and property.

This Agreement and all provisions hereof shall be governed by the laws of the Commonwealth of Virginia, and this Agreement shall be deemed made in Virginia regardless of which party is the last to sign. CLIENT and HRCP II agree that the sole venue for all disputes, litigation, and claims between the parties based on or arising out of this Agreement shall be the Circuit Court for the City of Norfolk, Virginia or the United States District Court for the Eastern District of Virginia (Norfolk Division).
Applicable Law and Forum Selection. 1. This Agreement shall be governed by and construed and enforced in accordance with the applicable laws of the State of Minnesota, and the Rules and Regulations and Ordinances of MAC as well as applicable federal law.

The Company and Indemnitee hereby irrevocably and unconditionally (i) agree that any action or proceeding arising out of or in connection with this Agreement shall be brought only in the Delaware Court of Chancery, and not in any other state or federal court in the United States of America or any court in any other country, (ii) consent to submit to the exclusive jurisdiction of the Delaware Court of Chancery for purposes of any action or proceeding arising out of or in connection with this Agreement, (iii) appoint, to the extent such party is not otherwise subject to service of process in the State of Delaware, Corporation Service Company, Wilmington, Delaware as its agent in the State of Delaware as such party’s agent for acceptance of legal process in connection with any such action or proceeding against such party with the same legal force and validity as if served upon such party personally within the State of Delaware, (iv) waive any objection to the laying of venue of any such action or proceeding in the Delaware Court of Chancery, and (v) waive, and agree not to plead or to make, any claim that any such action or proceeding brought in the Delaware Court of Chancery has been brought in an improper or inconvenient forum.

To the extent not governed by applicable federal statutes, the laws of the state of California shall govern the validity, construction, and performance of this Agreement and all controversies and claims arising hereunder. Customer agrees that the forum for any litigation arising out of the performance of this Agreement, whether initiated by the Customer or Rock-it, shall be Los Angeles County, California.

This Agreement will be governed and construed in accordance with the laws of the State of Minnesota, without regard to the rules or principles of any jurisdiction with respect to conflict of laws. Any disputes between the parties arising out of this Agreement must be resolved before the United States federal district court for the District of Minnesota, located in Minneapolis, Minnesota, and jurisdiction is hereby conferred upon such court. Each party hereby agrees to and consents to submit to the exclusive jurisdiction, venue and process of said court for all actions, suits, or proceedings arising out of this Agreement.

Notwithstanding the foregoing, any dispute regarding the validity of any Licensed Patent shall be litigated in the U.S. District Court of Minnesota, and the parties agree not to challenge personal jurisdiction in such forum.
Applicable Law and Forum Selection. The Commonwealth of Virginia’s laws shall govern this Agreement in all respects, including matters of construction, validity, and performance. Except as provided in Paragraph 18, the parties agree that the courts of Fairfax County, Virginia, and the Federal District Court, Eastern District of Virginia, Alexandria Division, (together, “Courts”) shall have exclusive jurisdiction over any controversy, including matters of construction, validity, and performance, arising out of this Agreement. The parties consent to the jurisdiction of the Courts and waive any objection either party might otherwise be entitled to assert regarding jurisdiction. The parties irrevocably waive all right to trial by jury in any action, proceeding, or counterclaim arising out of or related to this Agreement.
