AFFILIATES AND INTRODUCING BROKERS. If you are referred to us by an Affiliate or Introducing Broker, you must not assume these parties have access to your Account, act on your behalf (send us instructions) or view your trading history unless they are an Authorised Person. AUTHORISED USERS AND AUTHORISATION LIMITS VBTRADETECH FX may accept your authorisation of another person (Authorised User) to give instructions and place Orders on the Client’s behalf. The Authorised Person can be an Affiliate, Introducing Broker or Trading Agent. The Client must notify VBTRADETECH FX in a written Notice in the form of authorisation under a power of attorney. Upon VBTRADETECH FX receiving such Notice the change in Authorised User is effective immediately. However, the Notice shall not affect any Orders already executed. Any appointment of an Authorised User shall remain in full force and effect unless and until a notice of cancellation of appointment has been delivered to VBTRADETECH FX. The Client may inform VBTRADETECH FX of an authorisation limit applicable to some or all Orders either in general or for particular Authorised Users. Any authorisation limit provided by the Client to VBTRADETECH FX may be withdrawn by the Client at any time by giving Notice to VBTRADETECH FX. All Instructions were given and Orders accepted by an Authorised User within their authorisation limits will be deemed to be Instructions and Orders authorised by the Client and shall be binding upon the Client. Until the Client has provided a Notice to VBTRADETECH FX to the contrary, VBTRADETECH FX may continue to assume that all existing Authorised Users have authority to execute legally binding Orders with VBTRADETECH FX within their authorisation limits. The Client hereby indemnifies and agrees to hold VBTRADETECH FX harmless in respect of any loss incurred by an Authorised User entering into Orders within their authorisation limits.   • INTRODUCING BROKERS In the situation where you have been introduced to us by an introducing broker, you consent to us exchanging information with that introducing broker for the purposes of this clause 28. You may withdraw your consent by advising us accordingly in writing.

  • Affiliates The Borrower will not, and will not permit any Subsidiary to, enter into any transaction (including, without limitation, the purchase or sale of any Property or service) with, or make any payment or transfer to, any Affiliate except in the ordinary course of business and pursuant to the reasonable requirements of the Borrower's or such Subsidiary's business and upon fair and reasonable terms no less favorable to the Borrower or such Subsidiary than the Borrower or such Subsidiary would obtain in a comparable arms-length transaction.

  • No Brokers The Company has taken no action which would give rise to any claim by any person for brokerage commissions, transaction fees or similar payments relating to this Agreement or the transactions contemplated hereby.

  • Brokers No broker, finder or investment banker is entitled to any brokerage, finder’s or other fee or commission in connection with the transactions contemplated by this Agreement based upon arrangements made by or on behalf of Buyer.

  • CONTACTS BETWEEN THE PARTIES 15.1 Each Party shall update its own contact information and escalation list and shall provide such information to the other Party for purposes of inquiries regarding the implementation of this Agreement. Each Party shall accept all inquiries from the other Party and provide a timely response. CenturyLink will provide and maintain its contact and escalation list on the CenturyLink Website, and any updates also will be provided on the Website. Information contained on the Website will include a single contact telephone number for CenturyLink’s CLEC Service Center (via an 800#) that CLEC may call for all ordering and status inquiries and other day-to-day inquiries at any time during the Business Day. In addition, the Website will provide CLEC with contact information for the personnel and/or organizations within CenturyLink capable of assisting CLEC with inquiries regarding the ordering, provisioning and billing of Interconnection, UNE and resale services. Included in this information will be the contact information for a person or persons to whom CLEC can escalate issues dealing with the implementation of the Agreement and/or for assistance in resolving disputes arising under the Agreement.

  • No Broker Neither Seller nor any Affiliate of Seller has dealt with any broker, investment banker, agent or other Person, except for Buyer or an Affiliate of Buyer, who may be entitled to any commission or compensation in connection with any Transaction.

  • ARTISTES AND SPORTSPERSONS 1. Notwithstanding the provisions of Articles 14 and 15, income derived by a resident of a Contracting State as an entertainer, such as a theatre, motion picture, radio or television artiste, or a musician, or as a sportsperson, from his personal activities as such exercised in the other Contracting State, may be taxed in that other State.
