Actions by Affiliates. Each of Purchaser and Sellers shall cause their respective controlled Affiliates, and shall use their reasonable best efforts to ensure that each of their respective other Affiliates (other than Sponsor in the case of Purchaser) takes all actions reasonably necessary to be taken by such Affiliate in order to fulfill the obligations of Purchaser or Sellers, as the case may be, under this Agreement.

Actions by Affiliates. All obligations undertaken by Purchaser under this Article IX may be satisfied in whole or in part by an Affiliate of Purchaser.
Actions by Affiliates. Each Party agrees that, to the extent this Agreement contemplates any action to be taken by an Affiliate of such Party, such Party, as the case may be, will take all actions necessary to ensure that such Affiliate takes such action and the failure of such Affiliate to take such action shall be deemed a default by such Party.

Actions by Affiliates. In the event an Affiliate of a Party fails to perform any obligation or comply with any provision hereunder that requires performance or compliance by such Affiliate and such failure to perform or comply would constitute or be deemed a breach of the relevant obligation or provision of this Agreement if such Affiliate were the relevant Party, such failure to perform or comply shall be deemed a breach of such obligation or provision by the relevant Party. In the event of any failure of an Affiliate of a Party to perform or comply with an applicable obligation hereunder, the other Party shall provide notice of such failure to the Party whose Affiliate failed to perform, in accordance with Section 16.7.

Actions by Affiliates. Any action required to be performed by a Party under this Agreement may be performed by an Affiliate of such Party; provided, however that such Party shall (a) not thereby be relieved of any of its responsibilities under this Agreement, and (b) be jointly and severally responsible with such Affiliate for failure by such Affiliate to comply with all relevant restrictions, limitations and obligations in this Agreement.
