The Annual License does not, and shall not be deemed to, convey to Customer title of any kind to the System (hardware/software, algorithms, data center facilities, devices or other facilities utilized in connection with the offered Platform Services, Partner Services on platform, or Additional Services). Nothing in these Terms and Conditions or elsewhere in any commercial arrangement, will be deemed to or require Wooqer to transfer, assign or license any Intellectual Property to the Customer or Users. These Terms and Conditions constitute a “use” (or provisional) license to components that make up the Platform Services as per the plan subscribed by the Customer and does not extend license to resell to third parties by Customer or to any of Wooqer’s Intellectual Property Rights.

The government has a Restricted right to access and use UDPaaS per this Agreement and no derivative rights to designs created on the Platform except for the documentation created or designed on the platform applications (FAR 227.7203-5). Low or No Code applications designed on the UDPaaS Platform are not protected by FAR 252.227-7014.

Customer grants Xxxxxxxxxx.xxx, its Affiliates, SFDC, SFDC Affiliates and all of their applicable subcontractors a worldwide, limited-term license to host, copy, transmit and display Customer Data, and any Non-SFDC Applications and program code created by or for Customer using a Service or for use by Customer with the Services, as necessary for Xxxxxxxxxx.xxx to cause SFDC, and for SFDC, to provide the Services in accordance with this Agreement. Subject to the limited licenses granted herein, neither Xxxxxxxxxx.xxx nor SFDC shall acquire any right, title or interest from Customer or its licensors under this Agreement in or to any Customer Data, Non-SFDC Application or such program code.

The third party owner, author or provider of any such Content retains all ownership and intellectual property rights in and to that content, and Customer’s rights to use such Third Party Content are subject to, and governed by, the terms applicable to such Content as specified by such third party owner, author or provider. All Content is provided on a “as is” and “as available” basis without any warranty of any kind. CloudNatix is not responsible for, and under no obligation to control, monitor, or correct, Content, and may remove any Content in its discretion
