Acceptable Facility Waste. During the Delivery Term, Town shall deliver or cause to be delivered FOB the Facility and Haverhill shall accept, all the Acceptable Facility Waste generated within the Town; provided, that, in the event that the Facility is not available to accept the Acceptable Facility Waste, Haverhill shall promptly notify Town via email (Town shall provide Haverhill with a contact name and email address) and Town will transport the Acceptable Facility Waste to the Backup Facility, and the additional transportation cost shall be at Haverhill’s sole cost and expense except that Town shall be responsible for such costs (to be determined on a case-by case basis and mutually agreed to by the parties in writing) in the event that Acceptable Facility Waste is transported to the Backup Facility due to Facility unavailability caused by an UCC. On or before July 1st of each calendar year during the Delivery Term, Town shall provide to Haverhill a written estimate of the aggregate amount of Tons of Acceptable Facility Waste to be delivered to the Facility by or on behalf of Town during the next succeeding calendar year, and Town shall use reasonable efforts to cause such Acceptable Facility Waste to be delivered to the Facility approximately ratably throughout the year, subject to seasonal fluctuations in waste flow. Town shall deliver or cause to be delivered Acceptable Facility Waste to the Facility during Facility Receiving Times, and shall comply with the safety requirements for haulers delivering to the Facility, attached hereto as Appendix B, which may be amended from time to time by Haverhill upon notice to Town.

  • Facility Prudential is willing to consider, in its sole discretion and within limits which may be authorized for purchase by Prudential Affiliates from time to time, the purchase of Shelf Notes pursuant to this Agreement.   • Facility Use The Employer shall allow individuals the use of gender- segregated facilities, such as restrooms, locker rooms, and dressing rooms that are consistent with that individual's gender expression or gender identity. In such facilities where undressing in the presence of others occurs, the Employer shall allow access to and use of a facility consistent with that individual's gender expression or gender identity.

  • System Protection Facilities The Interconnection Customer shall, at its expense, install, operate and maintain System Protection Facilities as a part of the Large Generating Facility or the Interconnection Customer’s Interconnection Facilities. The Participating TO shall install at the Interconnection Customer's expense any System Protection Facilities that may be required on the Participating TO’s Interconnection Facilities or the Participating TO’s Transmission System as a result of the interconnection of the Large Generating Facility and the Interconnection Customer’s Interconnection Facilities.
