Warrant Coverage. The Company shall issue to Wxxxxxxxxx or its designees at each Closing, warrants (the “Wxxxxxxxxx Warrants”) to purchase that number of shares of common stock of the Company equal to 5.0% of the aggregate number of shares of common stock (or common stock equivalent, if applicable) placed in each Offering (and if an Offering includes a “greenshoe” or “additional investment” component, such number of shares of common stock underlying such “greenshoe” or “additional investment” component, with the Wxxxxxxxxx Warrants issuable upon the exercise of such component). If the Securities included in an Offering are convertible, the Wxxxxxxxxx Warrants shall be determined by dividing the gross proceeds raised in such Offering by the Offering Price (as defined hereunder). The Wxxxxxxxxx Warrants shall be in a customary form reasonably acceptable to Wxxxxxxxxx, have a term of five (5) years and an exercise price equal to 125% of the offering price per share (or unit, if applicable) in the applicable Offering and if such offering price is not available, the market price of the common stock on the date an Offering is commenced (such price, the “Offering Price”). Warrant Coverage. Holder shall receive, on the date hereof, ten-year warrants (the "Warrants) to purchase 100,000 shares of common stock of the Company ("Common Stock"). The exercise price of the Warrants shall be $2.25 per share of Common Stock of the Company ("Exercise Price") and shall become exercisable six months after the date hereof. Warrant Coverage. In consideration of the extension of the Commitment Period under Section 1.2 and the Maturity Date under Section 1.4 pursuant to Section 2.1 above, additional Warrants (together, the “Further 2013 Extension Warrants”) to purchase an aggregate number of shares of Common Stock equal to (a)(i) $3,000,000 multiplied by (ii) 2.5% divided by (b) the Extension Exercise Price shall be issued to the Lenders, with each Lender entitled to receive a pro rata number of such Further 2013 Extension Warrants based on the portion of the Committed Funds to be loaned by each such Lender. Such Further 2013 Extension Warrants shall be in the form attached as Exhibit A hereto and shall have an Exercise Price equal to the Extension Exercise Price.
Warrant Coverage. In consideration of entering into this Agreement, NetWolves will simultaneous with the execution of this Agreement issue a Warrant Agreement granting to Comdisco the right to purchase 175,000 shares of NetWolves Common Stock, for an Exercise Price of $10.00 per share, with a term of no less than five (5) years. The form of Warrant Agreement shall be as attached to this Agreement as Exhibit H, "Warrant Agreement". The number and purchase price of shares shall be subject to adjustment as provided in Section 8 of the Warrant Agreement. The Exercise Price may be paid at Comdisco's election either by cash or check or by surrender of Warrants ("Net Issuance") as determined in the Warrant Agreement.
