Common Stock Equivalent definition

Common Stock Equivalent means any Convertible Security or warrant, option or other right to subscribe for or purchase any Additional Shares of Common Stock or any Convertible Security.
Common Stock Equivalent means any securities of the Company which would entitle the holder thereof to acquire at any time Common Stock, including, without limitation, any debt, preferred stock, right, option, warrant or other instrument that is at any time convertible into or exercisable or exchangeable for, or otherwise entitles the holder thereof to receive, Common Stock.
Common Stock Equivalent means any warrant, option, subscription or purchase right with respect to shares of Common Stock, any security convertible into, exchangeable for, or otherwise entitling the holder thereof to acquire, shares of Common Stock or any warrant, option, subscription or purchase right with respect to any such convertible, exchangeable or other security.

  • In the event the Company issues Common Stock Equivalent with an exercise or conversion price less than the then-current Conversion Price, such issuance results in an adjustment to the Conversion Price pursuant to this Section 5(b), and such Common Stock Equivalent is subsequently terminated without being exercised or converted, then upon such termination the impact of such adjustment on the Conversion Price shall be reverted.
