Bailees, Warehousemen, Etc. Exhibit B hereto sets forth a list, as of the date hereof, of each bailee, warehouseman and other third party in possession or control of any Inventory in excess of $2,500,000 of any Grantor (except for Inventory in transit) and specifies as to each bailee, warehouseman or other third party the value of the Inventory, at cost, possessed or controlled by such bailee, warehouseman or other third party.
Bailees, Warehousemen, Etc. Schedule 3.4 hereto sets forth a list, as of the Closing Date, of each bailee, warehouseman and other third party in possession or control of any Inventory of any Loan Party and specifies as to each bailee, warehouseman or other third party whether the value of the Inventory, at Cost (as defined in the ABL Credit Agreement), possessed or controlled by such bailee, warehouse-man or other third party exceeds $20,000,000.

Except as otherwise disclosed in the Perfection Certificate, no Inventory costing in excess of $5,000,000 held on a temporary basis of any Grantor is in the care or custody of any one third party or stored or entrusted with any one bailee or other third party and none shall hereafter be placed under such care, custody, storage or entrustment unless a waiver or other agreement reasonably satisfactory to the Agent is delivered to the Agent by such third party or bailee.

As of the Closing Date, except as set forth on Schedule 3.06 hereto, no Inventory of any Grantor is in the care or custody of any third party or stored or entrusted with a bailee or other third party and no Inventory with an aggregate value in excess of $3,000,000 shall hereafter be placed under such care, custody, storage or entrustment unless a Collateral Access Agreement is delivered to the Collateral Agent by such third party or bailee.
Bailees, Warehousemen, Etc. The Perfection Certificate accurately sets forth a list, as of the Closing Date, of each bailee, warehouseman and other third party in possession or control of any material Inventory of any Grantor (except for any such Collateral in transit).
Bailees, Warehousemen, Etc. Except as otherwise disclosed in the Perfection Certificate, no Inventory or Equipment of any Grantor is in the care or custody of any third party or stored or entrusted with a bailee or other third party and none shall hereafter be placed under such care, custody, storage or entrustment except for Equipment and Inventory (i) out for repair or replacement in the ordinary course of business, (ii) being shipped, or in-transit, from a supplier or to a customer or between suppliers in the ordinary course of business or (iii) in the possession of suppliers, subcontractors and licensees in the ordinary course of business, unless the applicable Grantor complies with Section 4.01(c).

Except as otherwise disclosed in the Perfection Certificate, no Inventory of any Grantor is in the care or custody of any third party or stored or entrusted with a bailee or other third party and none shall hereafter be placed under such care, custody, storage, or entrustment except for goods in transit.
Bailees, Warehousemen, Etc. Except as set forth on Schedule 3.06 hereto, as of the date hereof, no Inventory of any Grantor with a value in excess of $1,000,000 is in the care or custody of any third party or stored or entrusted with a bailee or other third party.
Bailees, Warehousemen, Etc. No Inventory of any Grantor is in the care or custody of any third party or stored or entrusted with a bailee or other third party. If any such Inventory shall hereafter be placed under such care, custody, storage or entrustment of such third party or bailee, the Grantors shall notify the Collateral Agent and at the request of the Collateral Agent, shall use best and good faith efforts to obtain a waiver or other agreement by such third party or bailee reasonably satisfactory to the Collateral Agent.

EXCEPT AS OTHERWISE DISCLOSED IN THE PERFECTION CERTIFICATE, NO INVENTORY OR EQUIPMENT OF ANY GRANTOR IS IN THE CARE OR CUSTODY OF ANY THIRD PARTY OR STORED OR ENTRUSTED WITH A BAILEE OR OTHER THIRD PARTY AND NONE SHALL HEREAFTER BE PLACED UNDER SUCH CARE, CUSTODY, STORAGE, OR ENTRUSTMENT EXCEPT FOR EQUIPMENT AND INVENTORY (I) OUT FOR REPAIR OR REPLACEMENT IN THE ORDINARY COURSE OF BUSINESS, (II) BEING SHIPPED, OR IN-TRANSIT, FROM A SUPPLIER OR TO A CUSTOMER OR BETWEEN SUPPLIERS, IN THE ORDINARY COURSE OF BUSINESS OR (III) IN THE POSSESSION OF SUPPLIERS, SUBCONTRACTORS AND LICENSEES, IN THE ORDINARY COURSE OF BUSINESS, UNLESS THE APPLICABLE GRANTOR COMPLIES WITH SECTION 3.1(C) BELOW.
