X. Xxxx Intermediation Agreement definition

X. Xxxx Intermediation Agreement means that certain Amended and Restated Supply and Offtake Agreement dated as of December 21, 2017, as amended prior to or on the date hereof, by and between X. Xxxx & Company LLC (“X. Xxxx”) and Par Hawaii Refining, LLC, together with all related storage agreements, marketing and sales agreements, agency agreements, security agreements, account control agreements, other collateral documents and other ancillary agreements among such parties, in each case as any of the same may be extended, renewed, amended, supplemented, restated, amended and restated or otherwise modified from time to time, or refinanced and/or replaced with another Intermediation Agreement from time to time and in whole or in part; provided that no X. Xxxx Intermediation Agreement shall provide for any lien on any assets other than X. Xxxx Intermediation Collateral.

X. Xxxx Intermediation Agreement means that certain Second Amended and Restated Supply and Offtake Agreement dated as of June 1, 2021, as amended prior to or on the date hereof, by and between X. Xxxx & Company LLC (“X. Xxxx”) and Par Hawaii Refining, together with all related storage agreements, marketing and sales agreements, agency agreements, security agreements, account control agreements, other collateral documents and other ancillary agreements among such parties, in each case as any of the same may be extended, renewed, amended, supplemented, restated, amended and restated or otherwise modified from time to time, or refinanced and/or replaced with an Intermediation Facility under clause (d) thereof from time to time and in whole or in part; provided that (i) no X. Xxxx Intermediation Agreement shall provide for any lien on any assets other than X. Xxxx Intermediation Collateral and (ii) none of Par Borrower or its Restricted Subsidiaries, other than Par Hawaii Refining, shall enter into (or otherwise be a party and/or provide credit support for) the X. Xxxx Intermediation Agreement (other than a guarantee thereof by Par Borrower to the extent permitted by clause (r)(ii) of the definition of “Permitted Indebtedness”).

  • Project Management Agreement means the agreement dated the 20th February 1985 made between the Trustee and the Manager providing for the Manager to manage and co‑ordinate the development and construction of the Resort and includes, if that agreement is terminated, any other agreement in like and similar terms made with the prior consent of the Minister;
