Vesting PSA definition

Vesting PSA means that certain Agreement of Purchase and Sale and Joint Escrow Instructions dated as of October 1, 2004, between CLDC, as seller, and Seller, as buyer (as the same may be amended from time to time), pursuant to which Seller acquired the Land and certain entitlements. CLDC’s rights and obligations under the Vesting PSA were assigned to FOCIL pursuant to that certain Assignment and Assumption of Sale Agreements (Alexandria) effective as of November 22, 2004, between CLDC, as assignor, and FOCIL, as assignee.
Vesting PSA means that certain Agreement of Purchase and Sale and Joint Escrow Instructions dated as of February 24, 2005, between FOCIL, as seller, and Seller, as buyer (as the same may be amended from time to time), pursuant to which Seller acquired Blocks 26-27 (including the Land) and certain entitlements. Vesting PSA means that certain Agreement of Purchase and Sale and Joint Escrow Instructions dated as of October 14, 2005, between FOCIL, as seller, and Seller, as buyer, pursuant to which Seller acquired the Land and certain entitlements.

Examples of Vesting PSA in a sentence

  • A schedule of the required Infrastructure improvements and the timing of their delivery was set forth in Exhibit K attached to the Vesting PSA.

  • Pursuant to Paragraph 8 of the Vesting PSA, CLDC (as predecessor to FOCIL as Infrastructure Developer) agreed to cause to be constructed public Infrastructure within the public streets adjacent to (but not within) the Land on all four (4) sides (i.e., South Street to the north, Xxxxx Xxxxxxxx Boulevard to the east, 00xx Xxxxxx to the south, and 0xx Xxxxxx to the west).

  • The issues raised here clearly deserve a much more considered discussion, but that discussion must be left for another occasion.

  • Assuming jurisdiction, Norwood’s challenges to the 18% late payment charge also must fail.

Related to Vesting PSA

  • Vesting Period means the period of time specified by the Committee during which vesting restrictions for an Award are applicable.

  • Vesting Dates means, as determined by the Board or by the Committee, the date as of which the Optionee shall be entitled to exercise the Options or part of the Options, as set forth in section 11 of the ISOP.

  • Vesting Date has the meaning set forth in Section 3.10(c)(ii).

  • Vesting mean that the Units have become non-forfeitable. If Employee has a Termination of Employment prior to the Stated Vesting Date and the Units are not otherwise deemed vested by that date, the Units will be immediately forfeited except as otherwise provided in Section 4 of the Terms and Conditions.

  • Vesting Agreement means each or any, as the context implies, agreement or instrument entered into by a holder of LTIP Units upon acceptance of an award of LTIP Units under an Equity Incentive Plan.

  • Phantom Stock Award Agreement means a written agreement between the Company and a Holder with respect to a Phantom Stock Award.

  • Performance Units means an Award which may be earned in whole or in part upon attainment of performance criteria established by the Administrator and which may be settled for cash, Shares or other securities or a combination of cash, Shares or other securities as established by the Administrator.

  • Performance Shares means Shares or an Award denominated in Shares which may be earned in whole or in part upon attainment of performance criteria established by the Administrator.

  • Award Date means the date upon which the Committee took the action granting an Award or such later date as the Committee designates as the Award Date at the time of the Award.

  • Performance Share Unit or “PSU” means a unit equivalent in value to a Share, credited by means of a bookkeeping entry in the books of the Corporation in accordance with Article 6;

  • Performance Award Agreement means a written agreement between the Company and a Holder with respect to a Performance Award.

  • Performance Unit Award means an award of Performance Units under this Plan.

  • Performance Stock Award means a Stock Award granted under the terms and conditions of Section 6(c)(i).

  • Contract Award Date means the date of the Contract award notice, which may take the form of a purchase order, signed Contract or Notice of Award, issued by the Authority.

  • Performance Criteria means the criteria (and adjustments) that the Committee selects for an Award for purposes of establishing the Performance Goal or Performance Goals for a Performance Period, determined as follows:

  • LTIP Award means each or any, as the context requires, LTIP Award issued under any Equity Incentive Plan.

  • PSUs means the outstanding performance share units governed by the performance share unit plan of the Company dated December 16, 2013, as amended from time to time;

  • Qualifying Performance Criteria means any one or more of the following performance criteria, either individually, alternatively or in any combination, applied to either the Company as a whole or to a business unit, Parent, Subsidiary or business segment, either individually, alternatively or in any combination, and measured either annually or cumulatively over a period of years, on an absolute basis or relative to a pre-established target, to previous years’ results or to a designated comparison group, and on a pre-tax or after-tax basis, in each case as specified by the Committee in the Award: (i) cash flow (including operating cash flow or free cash flow); (ii) earnings (including gross margin, earnings before interest and taxes, earnings before taxes, and net earnings); (iii) earnings per share; (iv) growth in earnings or earnings per share; (v) stock price; (vi) return on equity or average stockholders’ equity; (vii) total stockholder return; (viii) return on capital; (ix) return on assets or net assets; (x) return on investment; (xi) revenue; (xii) income or net income; (xiii) operating income or net operating income; (xiv) operating profit or net operating profit; (xv) operating margin; (xvi) return on operating revenue; (xvii) market share; (xviii) contract awards or backlog; (xix) overhead or other expense reduction; (xx) growth in stockholder value relative to the moving average of the S&P 500 Index or a peer group index; (xxi) credit rating; (xxii) strategic plan development and implementation (including individual performance objectives that relate to achievement of the Company’s or any business unit’s strategic plan); (xxiii) improvement in workforce diversity; (xxiv) expenses; (xxv) economic value added; (xxvi) product quality; (xxvii) number of customers; (xxviii) objective customer indicators; (xxix) customer satisfaction; (xxx) new product invention or innovation; (xxxi) profit after taxes; (xxxii) pre-tax profit; (xxxiii) working capital; (xxxiv) sales; (xxxv) advancement of the Company’s product pipeline; (xxxvi) consummation of strategic transactions; (xxxvii) reduction in cash utilization; and (xxxviii) addition of technologies and products. The Committee may appropriately adjust any evaluation of performance under a Qualifying Performance Criteria to exclude any of the following events that occurs during a performance period: (A) asset write-downs; (B) litigation or claim judgments or settlements; (C) the effect of changes in tax law, accounting principles or other such laws or provisions affecting reported results; (D) accruals for reorganization and restructuring programs; and (E) any gains or losses classified as extraordinary or as discontinued operations in the Company’s financial statements.
