Valuation Cap Price definition

Valuation Cap Price means the price per share of Common Stock calculated by dividing the Valuation Cap by the number of shares of Common Stock on a Fully Diluted basis immediately prior to giving effect to the applicable exercise of this under this Warrant, subject to adjustment as provided herein, including but not limited to, any adjustments pursuant to Section 3 hereof. -19- ******************** (Signature Page Follows)
Valuation Cap Price means the quotient of (1) the Adjusted Equity Value, divided by (2) the aggregate number of outstanding shares of Common Stock as of the date upon which the number of Registrable Securities is being assessed hereunder (assuming conversion of all securities convertible into shares of Common Stock and exercise of all outstanding options and warrants (whether vested or unvested), including the Prior Note Shares and the Note Shares), plus all shares reserved for future issuance under authorized but unissued options (which, for clarity, is an iterative calculation).
Valuation Cap Price means the price per Ordinary Shares calculated by dividing the Valuation Cap by the number of Ordinary Shares on a Fully Diluted of basis.

  • The “Exercise Price” per share of Common Stock under this Warrant, subject to adjustment as provide herein, shall be equal to the lower of: (i) $3.12 per share and (ii) the Valuation Cap Price.

Valuation Cap Price means the price per share calculated by dividing the Valuation Cap by the number of shares of the Fully Diluted share capital of the Company immediately prior to the Qualified Financing Round or, in connection with conversion pursuant to clause 5, immediately prior to giving effect to such conversion of this Note.

Related to Valuation Cap Price

  • Valuation Cap means a pre-money valuation of US $27,500,000.

  • Valuation Price means in respect of a Valuation Date and any relevant Scheduled Trading Day, the price of the Reference Asset at the Valuation Time on such day, as determined by the Determination Agent.

  • Valuation Amount means, in respect of each Mortgaged Vessel, the value thereof as most recently determined under clause 8.2.2; and

  • VWAP Price means, on any Exchange Business Day, the per Share volume-weighted average price as displayed under the heading “Bloomberg VWAP” on Bloomberg page “ECPG <equity> AQR” (or any successor thereto) in respect of the period from 9:30 a.m. to 4:00 p.m. (New York City time) on such Exchange Business Day (or if such volume-weighted average price is unavailable, the market value of one Share on such Exchange Business Day, as determined by the Calculation Agent using a volume-weighted method).

  • Valuation Percentage means, for any item of Eligible Collateral, the percentage specified in Paragraph 13.

  • Disruption Cash Settlement Price means in respect of each Security, an amount in the Settlement Currency equal to the fair market value of the Share Amount (taking into account, where the Settlement Disruption Event affected some but not all of the Shares comprising the Share Amount and such non-affected Shares have been duly delivered as provided above, the value of such Shares), less the cost to the Issuer of unwinding any underlying related hedging arrangements, all as determined by the Issuer.

  • Settlement Value means the amount which the holder of a Contract may receive for a Contract held until Expiration. The Settlement Value of a Binary Contract is $100. The Settlement Value of a Variable Payout Contract is determined as described in the definitions of Long and Short Variable Payout Contracts.

  • Baseline Value for each of the Company and the Peer Companies means the dollar amount representing the average of the Fair Market Value of one share of common stock of such company over the five consecutive trading days ending on, and including, the Effective Date.

  • Valuation Point means such time as shall be specified in the relevant Supplement for each Fund.

  • Adjusted Value as used in subdivision (d) means:

  • Calculation Amount means the amount specified as such on the face of any Note, or if no such amount is so specified, the Denomination Amount of such Note as shown on the face thereof;

  • Reference Price means the Reference Price of the Underlying as specified in § 1 of the Product and Underlying Data.

  • Adjusted Fair Market Value means, in the event of a Change in Control, the greater of (i) the highest price per Share paid to holders of the Shares in any transaction (or series of transactions) constituting or resulting in a Change in Control or (ii) the highest Fair Market Value of a Share during the ninety (90) day period ending on the date of a Change in Control.

  • Fallback Reference Price (if the relevant parties have specified an alternate Commodity Reference Price in the Confirmation);

  • Average VWAP means the average of the VWAPs for each Trading Day in the relevant period.

  • Market Value Adjustment means, on a given date, an amount equal to the lesser of (x) 98% and (y) a percentage determined according to the following formula: Market Value Adjustment = 98% – [(10yrCMTt – 10yrCMTlaunch) ×Duration], where 10yrCMTt = the 10-Year Treasury Constant Maturity Rate published each business day by the Board of Governors of the Federal Reserve System, or, if such rate ceases to be published, a successor rate reasonably determined by the Trustees (the “10-Year CMT”), on such repurchase date; 10yrCMTlaunch = the 10-Year CMT as of the end of the Initial Offering Period; and Duration = an estimate of the duration of the periodic interest payments of a hypothetical coupon-paying U.S. Government Security with a 25-year maturity, calculated by the Trust’s Investment Manager as of the end of the Initial Offering Period;

  • Valuation Date means the date of receipt by the General Partner of a Notice of Redemption or, if such date is not a Business Day, the first Business Day thereafter.

  • Average value means the value which best represents the amount of the nutrient which a given food contains, and reflects allowances for seasonal variability, patterns of consumption and other factors which may cause the actual value to vary.

  • Cash price means the price measured in dollars at which a seller of a motor vehicle would in good faith sell to the buyer or to any other buyer under like circumstances, and the buyer would in good faith buy from the seller, the motor vehicle that is the subject matter of an installment sale contract if the sale were a sale for cash instead of an installment sale.
