Financing Round definition

Financing Round a subscription for equity in the Company by one or more persons raising an aggregate of at least $10,000,000 (excluding the Aggregate Advance Subscriptions), which amount can be raised in one or in a series of fundraisings on or before the Longstop Date;

Financing Round. (as set forth in this sample agreement) is defined as the contribution of "real" equity proceeds to the company by an investor (external investor or existing shareholder) against issuance of shares (by capital increase or share transfer). Equity-like or mezzanine investments (like convertible loans) are usually not included under the term "financing round" and therefore do not trigger the conversion of the loan.
