Financing Round definition

Financing Round a subscription for equity in the Company by one or more persons raising an aggregate of at least £[AMOUNT]1 (excluding the Aggregate Advance Subscriptions), which amount can be raised in one or in a series of fundraisings on or before the Longstop Date;

  • Alternatively, if the Company negotiates a new partner agreement under the Financing Round, the Lender undertakes and agrees to enter into such partner agreement, as a "Partner".

  • Any changes in Employee's Yearly Gross Salary after such 2nd Financing Round shall be in the sole discretion of the Company's Board of Directors.

More Definitions of Financing Round

Financing Round shall have the meaning assigned to that term in Section 1,10.
Financing Round means the closing by the Corporation of a bona fide sale of securities in a single transaction or a series of related transactions in conformity with the terms of this Agreement and the Certificate (including receipt of any required approvals of the Investors provided for herein and/or therein) and which results in gross proceeds to the Corporation of at least $25,000,000.

Financing Round. (as set forth in this sample agreement) is defined as the contribution of "real" equity proceeds to the company by an investor (external investor or existing shareholder) against issuance of shares (by capital increase or share transfer). Equity-like or mezzanine investments (like convertible loans) are usually not included under the term "financing round" and therefore do not trigger the conversion of the loan.
Financing Round means the next issuance of shares of the Company in which the Company receives equity proceeds from new investments (not including the conversion of the Loan or other loans) by the shareholders of the Company and/or new investors (the "FR Investors").

Maturity Date has the meaning ascribed to it under Article 4 below.
Financing Round means an increase of the corporate capital of the COMPANY by the issuance of new Stock. For the purpose of this Plan, a Financing Round only qualifies as such in case the amount invested by new or existing shareholders equals or exceeds CHF 500’000. For the avoidance of doubt, a capital increase by setting off outstanding liabilities of the COMPANY, or the conversion of any convertible securities of the COMPANY or any other cashless increase of the corporate capital will not be treated as a Financing Round in the meaning of this Plan. The Administrator is authorized to expand the definition of a “Financing Round” in favour of the BENEFICIARY.
