Utility Participant definition

Utility Participant means, collectively and individually as the context requires, Company and each other public or investor-owned utility company participating in the funding of the Program. Each Utility Participant shall be a third-party beneficiary under this Agreement and shall be entitled to enforce Contractor’s obligations under this Agreement.

Utility Participant shall have the meaning set forth in Schedule A of this Agreement. “Program Partner” shall mean any of Contractor or any Contractor Party’s subcontractors, vendors, suppliers, partners, affiliates, distributors, or trade alliance participant in connection with the Program. “Participating Customer” shall mean any customer participating in the Program. Examples of Utility Participant in a sentence

  • Accordingly, the Parties agree that in the event of a breach or threatened breach of this Article by Contractor, Company and each Utility Participant, and their respective direct and indirect parent company(ies), subsidiaries or affiliates (as applicable), which shall be third party beneficiaries of this Agreement, shall be entitled to seek an injunction preventing such breach, without the necessity of proving damages or posting any bond.

  • Such reports shall include an explanation of any significant variations, an identification of any potential or known developments that may impact Company, any Utility Participant, Contractor or the Services and any corrective actions implemented.

  • Any such relief shall be in addition to, and not in lieu of, monetary damages or any other legal or equitable remedy available to Company, each Utility Participant, and their respective direct and indirect parent company(ies), subsidiaries or affiliates, as applicable.

  • Contractor shall be responsible for notifying each Contractor Party, as well as each Company or Utility Participant customer that actually or could potentially participate in the Program, regarding restrictions on Double-Dipping.

  • For each Utility Participant, Contractor shall implement a Customer Comment Tracking System for recording customer inquiries, complaints, and positive feedback for such Utility Participant.

  • Company and the applicable Utility Participant shall have the right to participate in any material communications or discussions between Contractor and the site owner in respect of the Work.

  • Before making or permitting any such disclosure, Contractor shall provide the applicable Utility Participant with prompt Notice of any such requirement so that such Utility Participant (with Contractor’s assistance if requested by such Utility Participant) may seek a protective order or other appropriate remedy.

  • To the extent the Work comprises of entry onto a third-party site or facility (e.g. Utility Participant customer site), Contractor shall comply with and abide by all rules, guidelines, recommendations, procedures, protocols and requirements of the site or facility owner while performing Work, including without limitation all security protocols required by such site or facility owner.

  • Contractor shall comply with the instructions of Company, the applicable Utility Participant and the site or facility representative with respect to the avoidance of conditions that create a nuisance, may be disruptive or create conditions that may be hazardous to the health and safety of site or facility personnel.

  • Each Utility Participant shall be a third-party beneficiary under this Agreement and shall be entitled to enforce Contractor’s obligations under this Agreement.

Related to Utility Participant

  • Loan Participant means each Purchaser and its respective successors and registered assigns, including any Certificate Holder.

  • L/C Participant shall have the meaning provided in Section 3.3(a).

  • FTR Participant means any Market Participant that provides or is required to provide Collateral in order to participate in PJM’s FTR auctions.

  • Study Participant means a person recruited to participate in the Study.

  • CDS Participant means a broker, dealer, bank or other financial institution or other person for whom, from time to time, CDS effects book entries for the Units deposited with CDS.

  • Current Participant means a Class Member who has an Active Account in one or both the Plans as of August 5, 2020.

  • Disabled Participant with respect to a loan if it has no right to exercise any voting or other control rights with respect to such loan (other than the right to approve amendments to the material economic terms of such loan).

  • Active Participant means a Participant who has satisfied the eligibility requirements under Section 3 and who has at least 1,000 Hours of Service during the current Plan Year. However, a Participant shall not qualify as an Active Participant unless (i) he is in active Service with an Employer as of the last day of the Plan Year, or (ii) he is on a Recognized Absence as of that date, or (iii) his Service terminated during the Plan Year by reason of Disability, death, or Normal Retirement.

  • U.S. Participant means a Participant who is a citizen of the United States or a resident of the United States, as defined in section 7701(a)(30)(A) and section 7701(b)(1) of the Code and any other Participant who is subject to tax under the Code with respect to compensatory awards granted pursuant to the Plan;

  • Terminated Participant means a person who has been a Participant, but whose employment has been terminated other than by death, Total and Permanent Disability or retirement.

  • Designated Participant means a key Employee of the Company or any other Participating Company who is designated by the Committee in writing to participate in the Program.

  • Inactive Participant means each Participant (other than a Retired Participant, Deceased Participant or Disabled Participant) who is not in active service as an Outside Director and is not actively employed by a Participating Company.

  • Non-U.S. Participant means any Participant that if it were a Lender would qualify as a Non-U.S. Lender.

  • Participant has the meaning specified in Section 10.06(d).

  • Nonparty participant means a person, other than a party or mediator, that participates in a mediation.

  • Retired Participant means a person who has been a Participant, but who has become entitled to retirement benefits under the Plan.

  • Authorised Participant means the Initial Authorised Participant, the Second Authorised Participant and any Additional Authorised Participant.

  • Program participant means an individual certified by the secretary as a program participant under Iowa Code section 9E.3.

  • Qualified Participant means any Participant or Former Participant who has completed ten (10) Years of Service as a Participant and has attained age 55.

  • Other Participant means a cooperative project participant other than the United States.

  • Non-Highly Compensated Participant means any Participant who is neither a Highly Compensated Employee nor a Family Member.

  • Market Participant means a Market Buyer, a Market Seller, an Economic Load Response Participant, or all three, except when such term is used in Tariff, Attachment M, in which case Market Participant shall mean an entity that generates, transmits, distributes, purchases, or sells electricity, ancillary services, or any other product or service provided under the PJM Tariff or Operating Agreement within, into, out of, or through the PJM Region, but it shall not include an Authorized Government Agency that consumes energy for its own use but does not purchase or sell energy at wholesale.

  • A Participant or beneficiary ("claimant") who has not received benefits under the Plan that he or she believes should be paid shall make a claim for such benefits as follows:

  • Plan Participant means a person who is eligible to receive, and is receiving, a pension benefit from the Plan.

  • Former Participant means a person who has been a Participant, but who has ceased to be a Participant for any reason.

  • Highly Compensated Participant means any Highly Compensated Employee who is eligible to participate in the Plan.
