TimkenSteel LTIP means the TimkenSteel 2014 Equity and Incentive Compensation Plan and any stock-based or other incentive plan identified by TimkenSteel before the Distribution Date.
RemainCo shall have the meaning set forth in the Preamble.
SpinCo shall have the meaning set forth in the Preamble.
DSU Plan means the Deferred Share Unit Plan of the Corporation.
SIP means Session Initiation Protocol.
IAC means IAC/InterActiveCorp, a Delaware corporation.
Equity Plan means any stock or equity purchase plan, restricted stock or equity plan or other similar equity compensation plan now or hereafter adopted by the Partnership or the General Partner, including the Plan.
PSU means Public Sector Undertaking
Company Stock Plan means any stock option plan or other stock or equity-related plan of the Company.
ITT means the Purchaser’s invitation to tender dated (date ITT issued).
Company Equity Plan means the (a) Company’s Amended and Restated 2017 Equity Incentive Plan and (b) each other plan that provides for the award to any current or former director, manager, officer, employee, individual independent contractor or other service provider of any Group Company of rights of any kind to receive Equity Securities of any Group Company or benefits measured in whole or in part by reference to Equity Securities of any Group Company.
CVC means Citicorp Venture Capital, Ltd., a New York corporation.
OPC has the meaning specified in the recital of parties to this Agreement.
Company Stock Plans has the meaning set forth in Section 3.02(b).
Separation Plan means the Company’s Separation Plan Amended and Restated Effective August 13, 2006, as may be amended from time to time or any successor plan, program, arrangement or agreement thereto.
SpinCo Employee means any individual who, as of the Effective Time, is employed by or will be employed by Spinco or any member of the Spinco Group, including active employees and employees on vacation and approved leave of absence (including maternity, paternity, family, sick leave, qualified military service under the Uniformed Services Employment and Reemployment Rights Act of 1994, short- or long-term disability leave, leave under the Family Medical Leave Act and other approved leave).
RSU Plan means the restricted share unit plan for senior officers, employees and consultants adopted in November of 2008 by Jaguar, as amended from time to time;
Equity Plans meanss the stock option and incentive plans adopted and maintained by the Company from time to time.
DSU means the Understanding on Rules and Procedures Governing the Settlement of Disputes contained in Annex 2 of the WTO Agreement;
Company Equity Awards means the Company Options, Company PSUs and Company RSUs.
Company PSU means a restricted stock unit issued by the Company pursuant to a Company Equity Plan that vests in whole or in part upon the achievement of one or more performance goals (notwithstanding that the vesting of such restricted stock unit may also be conditioned upon the continued services of the holder thereof), pursuant to which the holder has a right to receive Shares after the vesting or lapse of restrictions applicable to such unit. “Company PSU” shall not include Company RSUs.
Company Equity Plans means the Company’s 1994 Stock Option Plan, 1998 Stock Option Plan, 2000 Stock Option Plan, 2003 Equity Incentive Plan and 2005 Equity Incentive Plan, each as may be amended from time to time, and any stock option agreements, award notices, stock purchase agreements or other agreements or instruments executed and delivered pursuant thereto.
Transferred Employee has the meaning set forth in Section 6.01(a).
Company Service Provider means a Company Employee, a Company Independent Contractor or a member of the Company Board.
Company RSU Award means any award of restricted stock units or performance stock units outstanding under the Company Stock Plans.
Compensation Plans shall have the meaning set forth in Section 3.11(b).
Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.
