Tier II Executive definition

Tier II Executive means an individual employed by a Participating Company at job level eleven (11) through fourteen (14), inclusive (within the meaning of the Company’s payroll structure).
Tier II Executive means an officer who has been selected to participate in the Plan and designated as a Tier II Executive pursuant to Section 3.2.
Tier II Executive means an individual who is, at the relevant time, a member of the executive committee of the Company or is otherwise designated as a Tier II Executive by the Committee.

Examples of Tier II Executive in a sentence

  • Subject to Section 3.2, such Gross-Up Payment shall be made no later than December 31 of the year following the year in which the Tier I or Tier II Executive incurs the Excise Tax.

  • If such fees and expenses are initially paid by the Tier I or Tier II Executive, the Participating Company shall reimburse the Tier I or Tier II Executive the full amount of such fees and expenses within ten (10) business days after receipt from the Tier I or Tier II Executive of reasonable evidence of payment; provided, however, that any such reimbursements shall be made no later than December 31 of the year following the year in which the Tier I or Tier II Executive incurs the fees and expenses.

  • The Participating Company shall direct the Accounting Firm to submit its determination and detailed supporting calculations to the relevant Participating Company and the Tier I or Tier II Executive within fifteen (15) calendar days after the date of the Tier I or Tier II Executive’s termination, if applicable, and any other such time or times as may be requested by such Participating Company or the Tier I or Tier II Executive.

  • If the Accounting Firm determines that no Excise Tax is payable by the Tier I or Tier II Executive, it shall, at the same time as it makes such determination, furnish the Tier I or Tier II Executive with an opinion that the Tier I or Tier II Executive has substantial authority not to report any Excise Tax on the Tier I or Tier II Executive’s federal, state, local income or other tax return.

  • Any reasonable determination by the Accounting Firm of the type contemplated by Section 6.1(c) (and supported by the calculations done by the Accounting Firm) shall be binding upon such Participating Company and the Tier I or Tier II Executive, subject to final determination by the Internal Revenue Service.


More Definitions of Tier II Executive

Tier II Executive means each executive designated as a Tier II Executive on Exhibit A.
Tier II Executive means the Chief Financial Officer, any president, executive vice president and senior vice president of the Company, and certain vice presidents of the Company specifically designated as Tier II Executives in accordance with the Plan, as further described in Section 4(a).
Tier II Executive means any Participant designated by the Compensation Committee as a Tier II Executive.
Tier II Executive means an Eligible Employee who has been designated by the Committee as a Tier II Executive pursuant to Section 2.1 of this Plan.
Tier II Executive means any executive officer of the Company who has been designated by the Board to participate in the Plan as a Tier II Executive.
Tier II Executive means an Executive with the Job Level of ELT in the Company’s Human Resources Information System as of the earlier of such time that is immediately prior to (i) a Qualifying Termination or (ii) a Change in Control and who does not constitute a Tier I Executive.
Tier II Executive means a Leadership Team Member who is the Company’s Chief Operating Officer; Chief Legal & Compliance Officer and Secretary; Chief Financial Officer; and any other senior officer so designated by the Administrator.
