TDCC’s Internal Research and Development Activities definition

TDCC’s Internal Research and Development Activities means only research and/or development by TDCC and/or its Affiliates, including research and development undertaken by TDCC jointly with Third Parties that are involved with TDCC or its Affiliates in developing*, and/or licensees of TDCC’s chemical manufacturing technology, each as consistent with TDCC’s usual and customary business practices. However, such term shall not include TDCC providing direct access to Discovery Tools Systems or Software or conducting research services or development activities on behalf of Third Parties for a fee other than sharing of expenses incurred in connection with joint activities with Third Parties as described in the prior sentence.

Examples of TDCC’s Internal Research and Development Activities in a sentence

  • Symyx Dtools hereby grants to TDCC a worldwide, nonexclusive, nontransferable, nonsublicensable (except as provided in Section 5.10) right to install and use * copies of the Software, in object code format, during the Program Term, solely for TDCC’s Internal Research and Development Activities.

  • In the event Symyx completes the acquisition of ownership of IntelliChem, Symyx agrees, upon the request of TDCC, to grant, or to cause IntelliChem to grant, to TDCC a worldwide, nonexclusive, nontransferable, nonsublicensable (except as provided in Section 5.10) right to install and use the IntelliChem Products, in object code format, during the Program Term, solely for TDCC’s Internal Research and Development Activities, *.

  • Symyx hereby grants to TDCC a * license under the Symyx Combinatorial Patent Rights, and the Symyx Combinatorial Know How, solely to use and make Combinatorial Chemistry for TDCC’s Internal Research and Development Activities during the Program Term and thereafter solely as set forth in Sections 6.6 and 6.7. The license set forth in this Section specifically excludes the right to copy or reverse engineer Symyx designed instruments, equipment, components, parts or software.

Related to TDCC’s Internal Research and Development Activities

  • Research and development means (1) theoretical analysis, exploration, or experimentation; or (2) the extension of investigative findings and theories of a scientific or technical nature into practical application for experimental and demonstration purposes, including the experimental production and testing of models, devices, equipment, materials, and processes. Research and development does not include the internal or external administration of radiation or radioactive material to human beings.

  • Nuclear fuel cycle-related research and development activities means those activities which are specifically related to any process or system development aspect of any of the following: - conversion of nuclear material, - enrichment of nuclear material, - nuclear fuel fabrication, - reactors, - critical facilities, - reprocessing of nuclear fuel, - processing (not including repackaging or conditioning not involving the separation of elements, for storage or disposal) of intermediate or high-level waste containing plutonium, high enriched uranium or uranium-233, but do not include activities related to theoretical or basic scientific research or to research and development on industrial radioisotope applications, medical, hydrological and agricultural applications, health and environmental effects and improved maintenance.

  • Research and development facility means an establishment engaged in laboratory, scientific, or experimental testing and development related to new products, new uses for existing products, or improving existing products. The term does not include an establishment engaged in efficiency surveys, management studies, consumer surveys, economic surveys, advertising, promotion, banking, or research in connection with literary, historical, or similar projects.

  • Commercial Development Plan means the written commercialization plan attached as Appendix E.

  • Collaboration Technology means the Collaboration Know-How and the Collaboration Patents.

  • Medical Affairs Activities means, with respect to any country or other jurisdiction in the Territory, the coordination of medical information requests and field based medical scientific liaisons with respect to Licensed Compounds or Licensed Products, including activities of medical scientific liaisons and the provision of medical information services with respect to a Licensed Compound or Licensed Product.

  • Development Activities means any activity, including the discharge of dredged or fill material, which results directly in a more than de minimus change in the hydrologic regime, bottom contour, or the type, distribution or diversity of hydrophytic vegetation, or which impairs the flow, reach, or circulation of surface water within wetlands or other waters;

  • spatial development framework means the Kouga Municipal Spatial Development Framework prepared and adopted in terms of sections 20 and 21 of the Act and Chapter 2 of this By-Law;

  • Commercialization or “Commercialize” means activities directed to marketing, promoting, research and development as required, manufacturing for sale, offering for sale, distributing, importing or selling a product, including sub-licensing or sub-contracting of these activities.

  • Transit-oriented development means infrastructure improvements that are located within 1/2 mile of a transit station or transit-oriented facility that promotes transit ridership or passenger rail use as determined by the board and approved by the municipality in which it is located.

  • Commercial Development means any development on private land that is not heavy industrial or residential. The category includes, but is not limited to: hospitals, laboratories and other medical facilities, educational institutions, recreational facilities, plant nurseries, multi-apartment buildings, car wash facilities, mini-malls and other business complexes, shopping malls, hotels, office buildings, public warehouses and other light industrial complexes.

  • scientific research means any activity in the field of natural or applied science for the extension of knowledge;

  • Collaborative drug therapy management means participation by an authorized pharmacist and a physician in the management of drug therapy pursuant to a written community practice protocol or a written hospital practice protocol.

  • Planned development means a real property development other than a community apartment project, a condominium project, or a stock cooperative, having either or both of the following features:

  • Research means a methodical investigation into a subject.

  • Development Activity means any activity defined as Development which will necessitate a Floodplain Development Permit. This includes buildings, structures, and non-structural items, including (but not limited to) fill, bulkheads, piers, pools, docks, landings, ramps, and erosion control/stabilization measures.

  • land development application means the application for a land development permit on a form provided by [local jurisdiction] along with the supporting documentation required in Section [Y]-10(a).

  • Initial Development Plan has the meaning set forth in Section 3.2(b).

  • Public research university means Rutgers, The State University

  • site development plan means a dimensioned plan drawn to scale that indicates details of the proposed land development, including the site layout, positioning of buildings and structures, property access, building designs and landscaping;

  • experimental development means acquiring, combining, shaping and using existing scientific, technological, business and other relevant knowledge and skills with the aim of developing new or improved products, processes or services. This may also include, for example, activities aiming at the conceptual definition, planning and documentation of new products, processes or services;

  • Development Program means the implementation of the development plan.

  • Commercialization Plan has the meaning set forth in Section 6.2.

  • Infill development means new construction on a vacant commercial lot currently held as open space.

  • Economic activities shall in principle include activities of an industrial, commercial and professional character and activities of craftsmen;

  • High Risk Activities means uses such as the operation of nuclear facilities, air traffic control, or life support systems, where the use or failure of the Services could lead to death, personal injury, or environmental damage.
