TCI Group definition

TCI Group means TCI and its Subsidiaries, collectively, or the applicable of TCI or a Subsidiary of TCI, as the context may require. If the Company ceases to be a Subsidiary of TCI, the Company and its Subsidiaries shall, notwithstanding the last sentence of the definition of Subsidiary above, be deemed for purposes of this definition only to continue to be Subsidiaries of TCI and, accordingly, members of the TCI Group.

TCI Group means, as of any date:

TCI Group shall have the meaning specified in the TCI Charter.

• A change of employment is not a termination of employment within the meaning of this paragraph 2, provided that, after giving effect to such change, Grantee is an employee of, or becomes or continues to be a consultant to, any member of the TCI Group.

• The Corporation shall not reclassify, subdivide or combine the Series A TCI Group Common Stock without reclassifying, subdividing or combining the Series B TCI Group Common Stock, on an equal per share basis, and the Corporation shall not reclassify, subdivide or combine the Series B TCI Group Common Stock without reclassifying, subdividing or combining the Series A TCI Group Common Stock, on an equal per share basis.

• If the market value of the Option Shares is less than the Investment Bankers' cost, the Company, at its option, will settle such difference with shares of TCI Group Series A Stock or TCI Ventures Group Series A Stock or, subject to certain conditions, with cash or letters of credit.

• Such acquisition may be made in exchange for either, or any combination of, shares of Series A TCI Group Stock owned by Dr. Malone (exchanged on a one for one basis), or cash in an amount equal to the average closing sale price of the Series B TCI Group Stock for the five trading days preceding the acquisition.

TCI Group. As defined in the Company Charter (assuming that the Restructuring had occurred as contemplated by Section 2.1).

TCI Group means the group consisting of TCI and any Affiliate of TCI who acquires Shares and agrees to be bound by the terms of this Agreement by signing a counterpart signature page hereto.

TCI Group the collective reference to TCI and its subsidiaries and --------- Liberty and its subsidiaries, regardless of whether Liberty is a subsidiary of TCI.

TCI Group shall have the meaning given to such term in the AT&T/Liberty TSA.
