Tracking Stock definition

Tracking Stock means, collectively, the EchoStar Tracking Stock and the HSSC Tracking Stock.
Tracking Stock means the Aerial Group Common Shares, the Cellular Group Common Shares and the Telecom Group Common Shares, and any other shares of capital stock of the Corporation which the Board designates as Tracking Stock.
Tracking Stock means an equity security which tracks the performance of one or more subsidiaries or a distinct line of business of the issuer of such equity security.

  • If any Cumulative Unpaid Dividends are paid for a certain accounting period, the Dividends for Subsidiary Tracking Stock shall be determined subject to the amount obtained by deducting such paid Cumulative Unpaid Dividends from the Maximum Dividend Amount of Subsidiary Tracking Stock as the Maximum Dividend Amount of Subsidiary Tracking Stock as provided for in (ii) of (1) above.

In the event such securities are not sold or exchanged for cash or cash equivalents within 180 days of receipt thereof, for purposes of determining whether the transaction pursuant to which the Company or a Restricted Subsidiary received the securities was in compliance with Section 1012, such securities shall be deemed not to have been Liquid Securities at any time.
