Suncor Group definition

Suncor Group means the Vendor and its Affiliates other than the Corporations.

  • Contractor shall indemnify, defend and hold harmless each member of Suncor Group from any Claim suffered, sustained, paid or incurred as a result of Contractor’s failure to maintain the insurance required by this Article 15 (Insurance).

  • Contractor shall not file, and shall ensure that no member of Contractor Group files, a lien in respect of the Services or any property of Suncor Group.

  • Without limitation and in addition to any other rights or remedies Suncor may have, Contractor shall be liable to and shall indemnify, defend, and hold harmless each member of Suncor Group from all Claims brought against or suffered, sustained, paid or incurred by Suncor Group arising out of or resulting from a breach of this Article 25 (Confidentiality) by any member of Contractor Group.

  • Sponsor Group means the Sponsors and the Sponsor Related Parties.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • Peer Group Companies means the following companies: .

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • Participating Company Group means, at any point in time, all corporations collectively which are then Participating Companies.

  • Promoter Group means an immediate relative of the Promoter (i.e. spouse of that person, or any parent, brother, sister or child of the person or of the spouse); persons whose shareholding is aggregated for the purpose of disclosing in the offer document “shareholding of the promoter group”.

  • Stockholder Group means the Stockholder and each Person (other than any member of the Company Group) that is an Affiliate of the Stockholder.

  • SpinCo shall have the meaning set forth in the Preamble.

  • Company Group means the Company and its Subsidiaries.

  • Member means a member of the Board;

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Company Group Member means Company or any Company Affiliate;

  • Service Group means any one or more (as the context may require) of the service groups described in this Schedule;

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.

  • MNE Group means any Group that (i) includes two or more enterprises the tax residences of which are in different jurisdictions, or includes an enterprise that is resident for tax purposes in one jurisdiction and is subject to tax with respect to the business carried out through a permanent establishment in another jurisdiction, and (ii) is not an Excluded MNE Group;

  • Shareholder Group means (i) Shareholder and (ii) any Affiliate or Shareholder Family Entity (as defined in the Shareholder's Agreement) of Shareholder (other than the Company).

  • Affiliated Group means any affiliated group within the meaning of Section 1504(a) of the Code or any similar group defined under a similar provision of state, local or foreign law.

  • Group Companies means the Company and its Subsidiaries.
