Instead of a fraction of a Parent Conversion Share which would otherwise be issuable upon conversion of any Security or Securities (or specified portions thereof), the Guarantor shall pay a cash adjustment in respect of such fraction of a Parent Share in an amount equal to the same fractional interest of the Closing Price of Parent Common Shares on the Stock Exchange Trading Day next preceding the day of conversion.
