At the Closing Time, the Representative shall have received the written opinion and negative assurance letter, dated the Closing Time and addressed to the Underwriters, of Milbank LLP, counsel for the Underwriters, with respect to such matters as the Representative may reasonably request, and such counsel shall have received such documents and information as they may reasonably request to enable them to pass upon such matters.
The Representative shall have received on and as of the date hereof and the Closing Time, satisfactory evidence of the good standing (or its equivalent) of the Company in its jurisdiction of organization and in writing or any standard form of telecommunication from the appropriate governmental authorities of such jurisdiction.
Any such time and date of delivery (an “Additional Closing Date”) shall be determined by the Representative, but shall not be earlier than one full business day (unless such Additional Closing Date occurs at the Closing Time) or later than seven full business days after the exercise of said option, nor in any event prior to the Closing Time.
