Special Zoning Site definition

Special Zoning Site means a Site that (i) prior to the Closing with respect to such Site, received a zoning variance, exemption or other similar Order which permits its current use, (ii) would lose such variance, exemption or other Order if the Included Property of such Site were to be Leased to the Tower Operator or transferred to the Sale Site Subsidiaries in the manner contemplated by this Agreement, and (iii) would not lose such variance, exemption or other similar Order if the Included Property of such Site were retained by the AT&T Contributors and managed by the Tower Operator or the Sale Site Subsidiaries in accordance with the terms of the Management Agreement.
Special Zoning Site means a Site that (i) prior to the Closing with respect to such Site, received a zoning variance, exemption or other similar Order which permits its current use, (ii) would lose such variance, exemption or other Order if the Included Property of such Site were to be Leased to the Tower Operator or transferred to the Sale Site Subsidiaries in the manner contemplated by this Agreement, and (iii) would not lose such variance, exemption or other similar Order if the Included Property of such Site were retained by the Verizon Contributors or the Verizon Lessors and managed by the Tower Operator or the Sale Site Subsidiaries in accordance with the terms of the Management Agreement.
Special Zoning Site means a Site that (i) received a zoning variance, exemption or other Order which permits its current use, (ii) would lose such variance, exemption or other Order if the Included Property of such Site were to be Leased to the Tower Operator or transferred to the Sale Site Subsidiaries in the manner contemplated by this Agreement, and (iii) would not lose such variance, exemption or other Order if the Included Property of such Site were retained by the T-Mobile Contributors and managed by the Tower Operator or the Sale Site Subsidiaries in accordance with the terms of the Management Agreement.

Examples of Special Zoning Site in a sentence

  • In the event that prior to a relevant Closing, Seller or Buyer discovers that a Site constitutes a Special Zoning Site, Seller or Buyer, as the case may be, shall promptly inform the other party that it considers such Site to be a Special Zoning Site, with reasonable specificity as to the reasons therefor.

  • If a Site is a Special Zoning Site, either Seller or Buyer may designate such Special Zoning Site as an Operated Site to be retained by Seller and operated by Buyer in accordance with the terms of the Master Operating Agreement, in which event, the Total Purchase Price shall be reduced by the Applicable Purchase Price for such Site.
