• For the avoidance of doubt, no notice shall be required to the extent the Servicer or the Special Servicer, as applicable, has not utilized a Servicing Function Participant during the prior fiscal year, and absent receipt of any such notice, each of the Certificate Administrator and the Depositor shall be entitled to assume that the Servicer or Special Servicer, as applicable, has not utilized a Servicing Function Participant during the prior year.

• When the Servicer and the Special Servicer submit their assessments to the Certificate Administrator, such parties, as applicable, will also at such time include the assessment (and related attestation pursuant to Section 3.20) of each Servicing Function Participant engaged by it.

• The Servicer, the Special Servicer, the Certificate Administrator and the Trustee shall cause each Servicing Function Participant of such party that is not a Sub-Servicer set forth on Exhibit V (and with respect to any Servicing Function Participant of such party that is a Sub-Servicer set forth on Exhibit V, shall use commercially reasonable efforts to cause such Servicing Function Participant) to agree to the foregoing indemnification and contribution obligations.

Servicing Function Participant means any Subservicer, Subcontractor or any other Person, other than each Servicer and the Indenture Trustee, that is participating in the servicing function within the meaning of Regulation AB, unless such Person’s activities relate only to 5% or less of the Financed Student Loans.
