Seller Governmental Approval definition

Seller Governmental Approval means a Governmental Approval necessary for Seller to consummate the transactions contemplated by this Agreement and the other Acquisition Documents.

  • Except as set forth in Schedule 4.9, neither Buyer nor any of its Affiliates is a party to any Contract to build, develop, acquire or operate any power facility that would reasonably be expected to cause a material delay in or failure to obtain any Governmental Authority’s granting of a Buyer Governmental Approval or a Seller Governmental Approval, and neither Buyer nor any of its Affiliates has any plans to enter into any such Contract prior to the Closing Date.
