Schedule of Assigned Contracts means the schedule of Executory Contracts and Unexpired Leases to be assumed and assigned by the Debtors to Wind Down Co on the Effective Date pursuant to the Plan Funding Agreement, to be filed in accordance with the Solicitation Procedures Order, in a form and substance reasonably acceptable to Consenting Claimholder, and as may be amended from time to time prior to the Effective Date in accordance with the Solicitation Procedures Order.

  • On March 22, 2018, the Debtors filed the Schedule of Assumed Contracts and Schedule of Assigned Contracts [ECF No. 2935] identifying (a) the Contracts to be assumed on the Effective Date, and (b) the Contracts to be assumed and assigned by the Debtors to Wind Down Co on the Effective Date.

  • In accordance with Paragraph 25 of the Confirmation Order, on the Effective Date the Debtors assumed certain contracts with such claimants by listing them on the Debtors’ Revised Schedule of Assumed Contracts and Schedule of Assigned Contracts [ECF No. 3624].

  • Unless otherwise agreed, the Cure/Assumption Objection Deadline with respect to any Executory Contract or Unexpired Lease that is added to the Schedule of Assigned Contracts and Leases or that is removed from the Schedule of Rejected Contracts and Leases after the Confirmation Date shall be the date that is 14 days after the filing of such schedule containing such Executory Contract or Unexpired Lease.

  • Schedule of Contracts means the list or lists of Contracts attached as Schedule A to this Agreement, which Contracts are being transferred to the Owner Trustee as part of the Trust Estate, which list or lists shall set forth the following information with respect to each such Contract in numbered columns:

  • Assigned Contracts has the meaning set forth in Section 2.01(c).

  • Assigned Contract has the meaning set forth in Section 1.5(a).

  • Assumed Contracts has the meaning set forth in Section 2.1(d).

  • Schedule of Assumed Executory Contracts and Unexpired Leases means the schedule of certain Executory Contracts and Unexpired Leases to be assumed (or assumed and assigned) by the Debtors pursuant to the Plan, as the same may be amended, modified, or supplemented from time to time by the Debtors.

  • Seller Contracts means all Contracts (i) relating to the Business under which Seller has or may acquire any rights or benefits, (ii) relating to the Business under which Seller has or may become subject to any obligation or Liability or (iii) by which any of the Purchased Assets or Assumed Liabilities is or may become bound.

  • Assumed Contract means any Executory Contract or Unexpired Lease assumed by the Reorganized Debtors in accordance with Article V of the Plan.

  • Acquired Contracts has the meaning given in Section 2.1(a).

  • Seller Contract any Contract (a) under which Seller has or may acquire any rights or benefits; (b) under which Seller has or may become subject to any obligation or liability; or (c) by which Seller or any of the assets owned or used by Seller is or may become bound.

  • Notice of Assignment is defined in Section 12.3.2.

  • Schedule of Rejected Executory Contracts and Unexpired Leases means the schedule (including any amendments or modifications thereto), if any, of the Executory Contracts and Unexpired Leases to be rejected by the Debtors pursuant to the Plan, as set forth in the Plan Supplement, as amended by the Debtors from time to time in accordance with the Plan, which shall be in form and substance acceptable to the Debtors.

  • Business Contracts has the meaning ascribed to it in Section 1.01(a)(v).

  • Specified Contract means any of the following Contracts (together with all exhibits and schedules thereto) to which the Company or any Subsidiary is a party:

  • Customer Contracts has the meaning set forth in Section 1.1(b)(ii)(A).

  • Scheduled Contracts has the meaning set forth in Section 4.16.

  • Shared Contracts means contracts pursuant to which a non-affiliated third party provides material services, Intellectual Property, Software or benefits to Seller or one or more of its Affiliates (including the Acquired Companies) in respect of both the Business and any other business of Seller and its Affiliates (other than the Acquired Companies).

  • Initial Contracts means those Contracts conveyed to the Trust on the Closing Date.

  • Service Contracts means contracts or agreements, such as maintenance, supply, service or utility contracts.
