Assigned Contract definition

Assigned Contract shall have the meaning set forth in Section 1.1(b).

Assigned Contract means (a) any contract that in ALTISOURCE’s sole judgment relates exclusively to the AAMC Business and (b) with respect to any contract that relates, but does not in ALTISOURCE’s sole judgment relate exclusively, to the AAMC Business (“Partial Assigned Contracts”), the portion, if any, of such Partial Assigned Contract that, in ALTISOURCE’s sole judgment, relates to the AAMC Business (the “AAMC Portion”).

Examples of Assigned Contract in a sentence

• No current or, to the Knowledge of Seller, former director or “officer” (as defined in Section 16(a) of the Exchange Act) of Seller or its Subsidiaries (nor any Related Party thereof) (a) owns any Transferred Asset, or (b) is a party to or the beneficiary of any Assigned Contract, except, in each case, for compensation and benefits payable under a Benefit Plan or employment agreement to officers or directors in their capacity as such.

• Within sixty (60) days of the Closing, (a) Seller shall delete or otherwise remove all Transferred Content from websites and social media accounts owned and controlled by Seller and its Subsidiaries and (b) Purchaser shall delete or otherwise remove all Content that is not Transferred Content or licensed under an Assigned Contract from websites and social media accounts included in the Transferred Intellectual Property.

More Definitions of Assigned Contract

Assigned Contract means (a) any contract that in ALTISOURCE’s sole judgment relates exclusively to the Residential Business (“Exclusive Assigned Contracts”) and (b) with respect to any contract that relates, but does not in ALTISOURCE’s sole judgment relate exclusively, to the Residential Business (“Partial Assigned Contracts”), the portion, if any, of such Partial Assigned Contract that, in ALTISOURCE’s sole judgment, relates to the Residential Business (the “Residential Portion”).

Assigned Contract has the meaning set forth in Section 4.2(b).

Assigned Contract means any contract or agreement to which the Company is a party or which runs in favor of the Company and which constitutes part of the Collateral.

Assigned Contract means (a) any contract that in OCWEN’s sole judgment relates exclusively to the ALTISOURCE Business (“Exclusive Assigned Contracts”) and (b) with respect to any contract that relates, but does not in OCWEN’s sole judgment relate exclusively, to the ALTISOURCE Business (“Partial Assigned Contracts”), the portion, if any, of such Partial Assigned Contract that, in OCWEN’s sole judgment, relates to the ALTISOURCE Business (the “ALTISOURCE Portion”).

Assigned Contract or “Assigned Contracts” is defined in Section 1.1(c).

Assigned Contract means any Contract that relates primarily to the Products, the Business or the Acquired Assets.
