Shared Contracts definition

Shared Contracts has the meaning specified in Section 4.12(b).
Shared Contracts shall have the meaning set forth in Section 2.2(a).
Shared Contracts means the Contracts that benefit a Company, on the one hand, and Parent or any Affiliate of Parent (other than a Company) or Emdeon Practice Services, Inc. or any of its Subsidiaries, on the other hand.

  • To the extent the foregoing applies to any Contracts (other than Shared Contracts, which shall be governed solely by Section 2.3) to be assigned for which any necessary Consents or Governmental Approvals are not received prior to the Effective Time, the treatment of such Contracts shall, for the avoidance of doubt, be subject to Section 2.8 and Section 2.9, to the extent applicable.

More Definitions of Shared Contracts

Shared Contracts means each Contract that is entered into prior to the Closing which is between the Company or any of its Affiliates, on the one hand, and one or more third parties, on the other hand, that directly benefit both (i) the Business or the Transferred Assets, on the one hand, and (ii) any Excluded Asset or any business of the Company or any of its Affiliates (other than the Business), on the other hand, including those set forth on Section 1.1(i) of the Disclosure Schedule, but excluding the IT Asset Contracts.
Shared Contracts means Contracts with a third party providing for rights and obligations of both one or more members of the Vishay Group and one or more members of the VPG Group.
Shared Contracts means (i) the Contracts listed on Schedule 1.1(99) and (ii) the Contracts entered into prior to the Effective Time to which either Party or any of its respective Subsidiaries and one or more Third Parties are a party that inures to the benefit or burden of both the Apergy Business and the Dover Business.
