Executory Contracts and Unexpired Leases definition

Executory Contracts and Unexpired Leases means any contracts or unexpired leases to which the Company is a party that are subject to assumption or rejection under sections 365 or 1123 of the Bankruptcy Code.

Executory Contracts and Unexpired Leases means, collectively, “executory contracts” and “unexpired leases” of the Debtors as of the Petition Date as such terms are used within section 365 of the Bankruptcy Code; provided, however, that for the avoidance of doubt, “Executory Contract and Unexpired Leases” excludes the Asset Purchase Agreement, the MTSA, the Side Letter, and all other documents executed by the Debtors in connection with the closing of the sale contemplated by the Asset Purchase Agreement.
