  • In addition, Buyer shall file with the Securities and Exchange Commission a Registration Statement on Form S-8 (or other appropriate form) covering all such shares of Buyer Common Stock, including shares issuable upon exercise of Rollover Company Options, and shall cause such registration statement to remain effective for as long as there are outstanding any options under the Equity Compensation Plans.

  • The adjustments provided in this Section 3.8(a)(i)(B) with respect to Rollover Company Options are intended to be effected in a manner that is consistent with Section 424(a) of the Code and Section 409A of the Code.
