Restatement Documents definition

Restatement Documents means each Assignment and Acceptance Agreement, dated on or about the Restatement Date, with each Assigning Lender, with respect to the Revolving Commitment and Loans of such Assigning Lender outstanding immediately prior to the Restatement Date, any documents underlying the repayment in full of each Term Loan Non-Assigning Lender with respect to the Term Loans of such Term Loan Non-Assigning Lender outstanding immediately prior to the Restatement Date, the amendment and restatement, dated as of the Restatement Date, of this Agreement, the Security Agreement and the Collateral Management Agreement, and each other Security Document or pledge agreement delivered as of the Restatement Date, and all amendments to UCC or other financing statements or instruments of perfection required by this Agreement, the Security Agreement, the Collateral Management Agreement, any Mortgage, any Control Agreement or any other such Security Document or pledge agreement to be filed with respect to the security interests in property created pursuant to the Security Agreement, the Collateral Management Agreement, any Mortgage, any Control Agreement and any other document or instrument utilized to pledge any property as Collateral for the Obligations as of the Restatement Date.
Restatement Documents means this amended and restated Receivables Loan Agreement, the amended and restated Servicing Agreement and the fee letters, each dated on or about the Restatement Effective Date.
Restatement Documents means the Acquisition Documents and this Agreement and the other documents delivered in connection therewith.

  • The Administrative Agent shall have received customary opinions from counsel to the Assignors, the Sellers, the Facility Administrator, the Managing Members, SAP, the Borrower and each Affiliate thereof that is party to an Amendment and Restatement Document addressing (i) authorization and enforceability of the Amendment and Restatement Documents and other corporate matters, (ii) security interest and UCC matters, (iii) substantive consolidation matters and (iv) true sale matters.

  • No other similar fee or commissions will be payable by the Borrower or any Subsidiary for any other services rendered to the Borrower or any Subsidiary ancillary to any of the transactions contemplated by this Agreement or the Restatement Documents.

  • Originals of this Agreement duly executed by each of the parties hereto, the documents and instruments listed on the Restatement Documents List, in each case, duly executed by each of the parties thereto, and such additional instruments and documents as the Administrative Agent or its counsel may reasonably require or request.

  • Amendment Documents means this Amendment, the Credit Agreement (as amended by this Amendment), and each certificate and other document executed and delivered by the Borrowers pursuant to Section 5 hereof.

  • Agreement Documents means the instructions to proponents, scope of service, addenda, response to the RFP, and the acceptance of proposal together with all subsequently negotiated agreements, written amendments, modifications, and supplements to such documents and all written authorizations signed by the administrator(s) amending, deleting, or adding to the contract.

  • Credit Agreement Documents means the collective reference to any Credit Agreement, any notes issued pursuant thereto and the guarantees thereof, and the collateral documents relating thereto, as amended, supplemented, restated, renewed, refunded, replaced, restructured, repaid, refinanced or otherwise modified, in whole or in part, from time to time.

  • Investment Documents means, collectively, the Loan Documents and the Warrants.
